Terms and Conditions

1. This Purchase Order is issued by Clinique Dentaire du Congo, a registered dental practice operating in Kinshasa, DR Congo, and constitutes a binding request for the supply of dental equipment, instruments, and consumables as itemized above.
2. The vendor, MediDent International S.A., acknowledges receipt of this Purchase Order and agrees to fulfill all line items within the specified delivery window of 30 June 2025 at the designated clinic address in Gombe, Kinshasa.
3. All dental equipment must be new, unused, and accompanied by valid manufacturer warranties of no less than two (2) years. The dental X-ray machine must include a radiation safety certification compliant with DR Congo national health regulations.
4. Payment shall be made via bank transfer to the vendor's account at Banque Commerciale du Congo (BCC), Kinshasa branch, within thirty (30) calendar days of the invoice date, subject to satisfactory inspection and acceptance of all delivered goods by the Chief Dentist.
5. The vendor is responsible for all customs clearance, import duties, and regulatory compliance required to bring the dental supplies into the Democratic Republic of the Congo. Any additional costs arising from non-compliance with DR Congo import regulations shall be borne by the vendor.
6. Delivery shall be made to the clinic premises in Kinshasa during standard business hours (08:00–17:00, Monday to Friday). The vendor must provide at least 48 hours' written notice prior to delivery to allow the dental team to prepare the treatment rooms for equipment installation.
7. In the event of partial delivery or defective items, the buyer reserves the right to reject the affected goods and request a replacement or proportional credit within ten (10) business days. The vendor shall bear all costs associated with the return and reshipment of non-conforming dental products.
8. This Purchase Order is governed by the commercial laws of the Democratic Republic of the Congo. Any disputes arising from this order shall be resolved through the competent commercial courts of Kinshasa, DR Congo.
9. The vendor warrants that all pharmaceutical and medical items (including local anesthetics and impression materials) are sourced from licensed manufacturers and carry valid batch numbers, expiration dates of no less than eighteen (18) months from the date of delivery, and full traceability documentation.
10. Both parties agree that this Purchase Order may be amended only by mutual written consent signed by the authorized representatives of both the dental practice in Kinshasa and the vendor.
