4. TERMS AND CONDITIONS

Delivery: All items listed in this Purchase Order shall be delivered to the Alexandria Coastal Dental Clinic at the address specified in Section 1. The supplier is responsible for safe transport, proper packaging, and installation of all capital equipment (Items 01, 02, and 06) within the city of Alexandria, Egypt. Delivery must be completed no later than 30 June 2025.
Quality Assurance: All dental equipment and consumables must comply with the Egyptian Ministry of Health (MOH) regulations and carry valid CE marking or equivalent certification. The Dentist reserves the right to reject any item that does not meet the specified standards or arrives damaged.
Warranty: Capital equipment (handpieces, curing lights) carries a minimum 24-month manufacturer warranty. Consumable items are non-returnable unless defective upon delivery. The supplier shall provide a written warranty certificate for each capital item.
Payment: Payment shall be made via bank transfer to the supplier's designated account within 30 calendar days of the date of confirmed delivery and acceptance of goods by the Dentist. A valid Egyptian tax invoice (Fatura) must accompany the delivery.
Compliance: This Purchase Order is governed by the laws of the Arab Republic of Egypt. Any disputes arising from this transaction shall be resolved through the competent commercial courts in Alexandria, Egypt.
Regulatory Compliance: The supplier warrants that all pharmaceutical items (Item 10) are registered with the Egyptian Drug Authority (EDA) and that all medical devices comply with the Egyptian Medical Device Regulation (EMDR). The Dentist's practice license (MOH-EGY-ALX-2019-00342) permits the procurement and use of all items listed herein.
Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to port closures at Alexandria Port, government-mandated shutdowns, or natural disasters affecting the Alexandria Governorate.
Amendments: Any modification to this Purchase Order must be made in writing and signed by both the Dentist (or authorized representative) and the Supplier. Verbal agreements are not binding.
Confidentiality: Both parties agree to maintain the confidentiality of pricing, patient-related data, and business information exchanged in connection with this Purchase Order.
