Terms and Conditions
- Delivery: All goods shall be delivered to the premises of Clinique Dentaire du Rhône located at 42 Quai de Serbie, 69009 Lyon, France. Delivery must be completed no later than 28 June 2025. The supplier is responsible for all transportation costs within the Lyon metropolitan area and must ensure that all dental equipment arrives in proper packaging suitable for medical-grade instruments.
- Payment: Payment shall be made by bank transfer (virement bancaire) to the supplier's designated account within thirty (30) calendar days of the date of the invoice. The buyer's bank is Crédit Agricole du Rhône, Lyon. IBAN and BIC details are on file with the supplier.
- Compliance: The supplier warrants that all dental products supplied under this Purchase Order are CE-marked and fully compliant with the French national regulations governing medical devices, as administered by the Direction Régionale de l'Agence Régionale de Santé (ARS) Auvergne-Rhône-Alpes, Lyon. All items must carry valid French-language labeling where required by law.
- Quality Assurance: The Dentist team at Clinique Dentaire du Rhône reserves the right to inspect all delivered goods upon receipt. Any items found to be defective, expired, or non-conforming to the specifications stated in this Purchase Order shall be returned at the supplier's expense within fourteen (14) days of delivery.
- Warranty: All dental equipment (including but not limited to the high-speed handpieces listed in Line 3) carries a minimum warranty of twenty-four (24) months from the date of delivery, in accordance with French consumer and commercial law (Code de la consommation, Articles L217-3 et seq.).
- Intellectual Property & Confidentiality: Both parties agree that the terms of this Purchase Order, including pricing and volume commitments, shall remain confidential and shall not be disclosed to third parties without prior written consent, in accordance with French commercial secrecy law.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the French Republic. Any dispute arising from or in connection with this order shall be submitted to the exclusive jurisdiction of the Tribunal de Commerce de Lyon, France.
- Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order if such failure results from circumstances beyond reasonable control, including but not limited to natural disasters, government mandates, or supply chain disruptions affecting the Lyon region or France as a whole.
- Amendments: Any modification to this Purchase Order must be made in writing and signed by authorized representatives of both parties. Verbal agreements or email communications shall not constitute a valid amendment unless subsequently confirmed in a written addendum.
