- Applicability: This Purchase Order is issued by Cabinet Dentaire du Quartier Latin, a registered dental practice operating in the 5th arrondissement of Paris, France, and is governed by the French Civil Code and applicable commercial regulations of the French Republic.
- Regulatory Compliance: All dental equipment and materials supplied under this Purchase Order must comply with the European Union Medical Devices Regulation (EU) 2017/745, the French Public Health Code (Code de la Santé Publique), and the specific requirements set forth by the Agence Nationale de Sécurité du Médicament et des Produits de Santé (ANSM) for use in a French dental practice.
- Delivery: The supplier shall deliver all items listed in this Purchase Order to the dental practice premises at 12 Rue de la Huchette, 75005 Paris, France, no later than 28 June 2025. Delivery shall include full installation, calibration, and commissioning of all major equipment by qualified technicians. The supplier is responsible for all transportation costs within the Paris metropolitan area.
- Warranty: All major dental equipment (items 01, 02, 06, 07) shall carry a minimum manufacturer's warranty of three (3) years from the date of installation. Consumable items (items 04, 05, 09, 10) are warranted to be free from manufacturing defects at the time of delivery. The supplier shall provide a written warranty certificate for each major item, registered with the French consumer protection authority.
- Payment: Payment of the full amount of 85,860.00 EUR (eighty-five thousand eight hundred sixty euros) shall be made within thirty (30) calendar days of receipt of a valid invoice from the supplier. Payment shall be made by bank wire transfer to the account specified in this Purchase Order. Late payments shall accrue interest at the rate prescribed by Article L441-10 of the French Commercial Code.
- Acceptance and Inspection: Upon delivery, the practicing dentist, Dr. Marie-Claire Beaumont, or her designated representative, shall inspect all items within five (5) business days. Any item found to be damaged, defective, or non-conforming to the specifications in this Purchase Order must be reported in writing to the supplier within the inspection period. The supplier shall replace or repair non-conforming items at no additional cost to the dental practice within ten (10) business days of notification.
- Training: The supplier shall provide on-site training for the dental team at the Paris practice, covering the operation, maintenance, and safety protocols of all major equipment. Training sessions shall be conducted in French and shall last a minimum of four (4) hours per major equipment category.
- Confidentiality: Both parties agree to maintain strict confidentiality regarding the terms of this Purchase Order, the pricing structure, and any patient-related information that may come into contact during the installation process, in accordance with the French General Data Protection Regulation (RGPD / GDPR) and the French data protection laws overseen by the CNIL.
- Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order if such failure is caused by events beyond reasonable control, including but not limited to natural disasters, government-mandated closures, or public health emergencies affecting the city of Paris or the broader France region.
- Governing Law and Jurisdiction: This Purchase Order shall be governed by and construed in accordance with the laws of the French Republic. Any disputes arising from or in connection with this document shall be submitted to the exclusive jurisdiction of the Tribunal de Commerce de Paris, located in the 1st arrondissement of Paris, France.
- Amendments: No modification or amendment to this Purchase Order shall be valid unless made in writing and signed by authorized representatives of both the dental practice in Paris and the supplier. Verbal agreements or informal communications shall not constitute a valid amendment.
