All goods referenced in this Purchase Order shall be delivered to the Dentist practice premises at Goethestraße 42, 60311 Frankfurt am Main, Germany. The supplier is required to ensure that all dental equipment and materials arrive in their original, unopened packaging. Delivery must be completed no later than 28 June 2025. The supplier shall provide a delivery note and a commercial invoice referencing this Purchase Order number (PO-2025-FRA-00847) at the time of delivery. Shipping costs are included in the unit prices listed above. In the event of partial delivery, the supplier must notify the Dentist practice in writing within 24 hours of the scheduled delivery date.
4. Payment TermsPayment for this Purchase Order shall be made via bank transfer (SEPA) to the supplier's designated account within 30 days of the date of the commercial invoice. The Dentist practice in Germany Frankfurt shall remit payment to: DentalPro Europe GmbH, IBAN: DE44 5001 0517 5407 3249 01, BIC: PBNKDEFF. Late payments shall be subject to statutory interest as defined under Section 288 of the German Civil Code (BGB). The Dentist practice reserves the right to withhold payment for any items that do not conform to the specifications outlined in this Purchase Order.
5. Terms and Conditions- This Purchase Order is governed by the laws of the Federal Republic of Germany. Any disputes arising from this Purchase Order shall be subject to the exclusive jurisdiction of the competent courts in Frankfurt am Main, Germany.
- All dental products supplied under this Purchase Order must comply with the Medical Devices Regulation (EU) 2017/745 and carry valid CE marking. The supplier warrants that all items are new, unused, and within their stated shelf life.
- The Dentist practice in Germany Frankfurt reserves the right to inspect all delivered goods within five (5) business days of receipt. Any defects, shortages, or non-conformities must be reported to the supplier in writing within this period.
- The supplier shall provide a minimum warranty of two (2) years on all electronic and mechanical dental equipment (Items 04 and 08) and a minimum shelf life of twelve (12) months on all consumable materials at the time of delivery.
- This Purchase Order becomes binding upon written acceptance by both parties. No modifications to this Purchase Order shall be valid unless made in writing and signed by authorized representatives of both the Dentist practice and the supplier.
- The supplier acknowledges that the goods are intended for use in a professional Dentist practice serving patients in the Germany Frankfurt metropolitan area and shall ensure full compliance with all applicable German and EU health and safety regulations.
- Force majeure events, including but not limited to natural disasters, pandemics, or government-mandated closures in Germany Frankfurt, may extend delivery deadlines by a reasonable period, provided the supplier notifies the Dentist practice in writing within 48 hours of the event.
