3.1 Delivery: All items specified in this Purchase Order shall be delivered to the Asante Dental Clinic premises at 14 Independence Avenue, Osu, Accra, Ghana, no later than 28 June 2025. The supplier shall bear all transportation, customs clearance (where applicable for imported dental goods), and installation costs within the Greater Accra Region of Ghana.
3.2 Quality Assurance: All dental equipment and supplies must meet the standards set by the Ghana Health Service and the Dental Council of Ghana. The Dentist at Asante Dental Clinic reserves the right to inspect and reject any item that does not conform to the specifications outlined in this Purchase Order. Rejected items must be replaced within seven (7) business days at no additional cost.
3.3 Payment: Payment of the full amount of GHS 317,907.50 shall be made within thirty (30) calendar days of the date of confirmed delivery and acceptance of goods. Payment shall be made via bank transfer to the supplier's designated account at Ecobank Ghana, Accra branch. No payment shall be due prior to satisfactory inspection by the purchasing Dentist.
3.4 Warranties: All capital equipment (autoclaves, dental chairs, handpieces) shall carry a minimum manufacturer's warranty of two (2) years, with on-site service coverage in Ghana Accra. Consumable items are warranted to be unopened, within their stated shelf life, and free from defects at the time of delivery.
3.5 Regulatory Compliance: The supplier warrants that all dental products listed in this Purchase Order are registered with the Food and Drugs Authority (FDA) of Ghana and comply with all applicable regulations governing the importation and sale of medical and dental supplies in the Republic of Ghana.
3.6 Cancellation and Modification: This Purchase Order may be modified or cancelled in writing by either party. Cancellation by the purchasing Dentist prior to shipment shall incur no penalty. Cancellation after shipment shall be subject to a 10% restocking fee on undelivered items.
3.7 Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Republic of Ghana. Any disputes arising from this Purchase Order shall be resolved through arbitration in Accra, Ghana, in accordance with the Arbitration Act, 1968 (Act 29).
3.8 Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to port closures at the Port of Tema, national emergencies, or government-mandated restrictions affecting the supply chain in Ghana Accra.
