Terms & Conditions of this Purchase Order
- This Purchase Order is issued by SmileCare Dental Clinic Pvt. Ltd., a registered Dentist practice in Bangalore, India, and is governed by the laws of the Republic of India, specifically the Indian Contract Act, 1872, and the Goods and Services Tax (GST) Act, 2017.
- All items listed in this Purchase Order must be delivered to our clinic premises located at 42, 100 Feet Road, Indiranagar, Bangalore, Karnataka 560038, India. The supplier shall bear all transportation and logistics costs within the Bangalore metropolitan area.
- Delivery of all items under this Purchase Order shall be completed no later than 30 June 2025. Any delay beyond this date shall attract a penalty of 0.5% of the total Purchase Order value per day of delay, up to a maximum of 5%.
- All dental equipment and instruments must carry valid BIS (Bureau of Indian Standards) certification and, where applicable, CE marking. The supplier shall provide copies of all certifications, test reports, and import licenses (if applicable) along with the delivery.
- Payment shall be made via NEFT/RTGS to the supplier's designated bank account within 30 days from the date of successful delivery and acceptance of goods. A valid GST tax invoice must accompany the delivery for processing of this Purchase Order payment.
- All items are subject to inspection upon delivery at our Bangalore, India facility. Any damaged, defective, or non-conforming items shall be rejected and must be replaced within 7 working days at the supplier's sole cost.
- The warranty period for all capital equipment (dental chairs, autoclave, intraoral cameras, handpieces) shall be a minimum of 24 months from the date of installation, with on-site service coverage in Bangalore, Karnataka, India.
- This Purchase Order shall not be considered valid or binding until signed and stamped by the authorized signatory of SmileCare Dental Clinic Pvt. Ltd. and acknowledged in writing by the supplier.
- The supplier warrants that all consumable dental supplies (composite resin, impression material, amalgam, gloves, etc.) shall be within their stated shelf life with a minimum of 12 months remaining at the time of delivery in Bangalore, India.
- Any disputes arising from this Purchase Order shall be resolved through arbitration in Bangalore, Karnataka, India, in accordance with the Arbitration and Conciliation Act, 1996.
