Terms and Conditions of this Purchase Order
- 1. Scope: This Purchase Order is issued by SmileCare Dental Clinic, a registered dental practice operating in Mumbai, Maharashtra, India, for the procurement of dental equipment, instruments, and consumable supplies required for the continued operation of the dentist’s clinical services.
- 2. Delivery: All items listed in this Purchase Order shall be delivered to the specified address in Bandra West, Mumbai, India, no later than 30 June 2025. The supplier shall bear all transportation costs within the Mumbai metropolitan area.
- 3. Quality Standards: All dental products must comply with the standards set by the Dental Council of India (DCI) and the Bureau of Indian Standards (BIS). The supplier warrants that all items are new, unused, and within their manufacturer’s shelf life.
- 4. Payment: Payment of the total amount of ’7,69,940.00 (INR) shall be made via NEFT/RTGS to the supplier’s designated bank account within thirty (30) days of receipt of a valid GST tax invoice. The invoice must reference this Purchase Order number DENT/MUM/2025/00472.
- 5. Inspection & Acceptance: The dentist and clinic staff at SmileCare Dental Clinic, Mumbai, shall inspect all delivered goods within five (5) working days of delivery. Any discrepancies, damaged items, or non-conforming products must be reported in writing to the supplier within this period.
- 6. Warranty: Capital equipment items (Autoclave, Dental Handpieces, LED Curing Light) carry a minimum manufacturer’s warranty of twelve (12) months from the date of delivery in Mumbai, India. The supplier shall coordinate all warranty claims with the respective manufacturers.
- 7. Regulatory Compliance: The supplier confirms that all pharmaceutical and medical device items listed herein are approved for sale in India by the Central Drugs Standard Control Organization (CDSCO) and comply with the Drugs and Cosmetics Act, 1940, and the Medical Device Rules, 2017.
- 8. Cancellation: This Purchase Order may be cancelled by the buyer in writing up to seven (7) days prior to the scheduled delivery date. In the event of cancellation, the supplier shall be compensated for any non-recoverable costs incurred, subject to a maximum of 10% of the order value.
- 9. Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of India. Any disputes arising from this order shall be subject to the exclusive jurisdiction of the competent courts in Mumbai, Maharashtra, India.
