All items listed in this Purchase Order shall be delivered to the SmileCare Dental Clinic premises at 142, Connaught Place, New Delhi, India – 110001. The supplier, MediDent India Supplies Pvt. Ltd., shall ensure that all dental equipment and consumables are delivered within seven (7) working days from the date of this Purchase Order. Delivery shall be made between 09:00 AM and 05:00 PM, Monday through Saturday. The supplier is responsible for all packaging, handling, and transportation costs within the New Delhi, India metropolitan area. All dental instruments must be properly sterilized, sealed, and accompanied by relevant quality certificates and batch numbers as mandated by the Central Drugs Standard Control Organisation (CDSCO), Government of India.

Payment against this Purchase Order shall be made via NEFT/RTGS bank transfer to the supplier's designated account within thirty (30) days from the date of invoice receipt, subject to satisfactory inspection and acceptance of all delivered goods. The total payable amount under this Purchase Order is Indian Rupees Four Lakh Thirty-Two Thousand Seven Hundred and Eighty-One Only (INR 4,32,781.00), inclusive of 18% GST as applicable under the Goods and Services Tax Act, 2017, India. No advance payment shall be made. In the event of any discrepancy in the delivered goods, the buyer reserves the right to withhold payment for the affected line items until the issue is resolved.

1. This Purchase Order is valid for acceptance within five (5) working days from the date of issue. Failure to confirm acceptance within this period shall render this Purchase Order null and void.
2. All dental products supplied under this Purchase Order must comply with the standards set by the Indian Dental Association (IDA) and the Bureau of Indian Standards (BIS). The Dentist team at SmileCare Dental Clinic, New Delhi, India, shall have the right to reject any item that does not meet the specified quality parameters.
3. The supplier warrants that all dental equipment and materials are new, unused, and free from defects. A minimum warranty period of twelve (12) months shall apply to all mechanical and electronic dental instruments.
4. Any delay in delivery beyond the stipulated seven (7) working days shall attract a penalty of 0.5% of the delayed item's value per day, up to a maximum of 5% of the total Purchase Order value.
5. The supplier shall provide a valid GST invoice along with the delivery challan. All documents must clearly reference this Purchase Order number (SCD-PO-2025-0472).
6. In the event of a dispute arising from this Purchase Order, both parties agree to resolve the matter through arbitration in New Delhi, India, in accordance with the Arbitration and Conciliation Act, 1996.
7. This Purchase Order does not constitute a long-term supply agreement. Any future procurement by the Dentist team shall require a separate Purchase Order to be issued.
8. All intellectual property rights, trademarks, and product certifications remain the property of the respective manufacturers. The supplier acts solely as a distributor for the purpose of this Purchase Order.

This Purchase Order is issued and authorised by the undersigned on behalf of SmileCare Dental Clinic Pvt. Ltd., New Delhi, India. The supplier's acceptance of this Purchase Order shall be confirmed in writing via email or signed copy returned to the buyer within the stipulated acceptance period.
