Terms and Conditions
- This Purchase Order is issued by Al-Rafidain Dental Clinic, a licensed dental practice operating in Baghdad, Iraq, and constitutes a binding procurement request for the dental equipment and consumable supplies listed above.
- The supplier, MedDent Global Supply Co., Ltd., acknowledges receipt of this Purchase Order and agrees to fulfill all line items in accordance with the specifications, quantities, and delivery timeline stated herein.
- Delivery shall be made DDP (Delivered Duty Paid) to the clinic address in Baghdad, Iraq. The supplier bears full responsibility for international freight, insurance, customs clearance in Iraq, and final delivery to the designated location in the Al-Mansour District of Baghdad.
- Payment shall be made via irrevocable Letter of Credit (LC) issued by a licensed Iraqi bank in Baghdad, payable in US Dollars, within thirty (30) calendar days of the supplier's confirmed invoice and successful inspection of all dental goods by the clinic's Chief Dentist.
- All dental instruments, handpieces, and electronic equipment must carry a minimum manufacturer warranty of two (2) years from the date of delivery in Baghdad. Consumable items such as gloves, composite resins, and chair covers must have a remaining shelf life of no less than eighteen (18) months at the time of delivery.
- In the event of non-conforming or damaged dental equipment upon arrival in Iraq, the supplier shall, at its own expense, replace the affected items within fourteen (14) business days. The Dentist at the receiving clinic reserves the right to reject any item that does not meet the agreed specifications.
- This Purchase Order is governed by the laws of the Republic of Iraq and, where applicable, the United Nations Convention on Contracts for the International Sale of Goods (CISG). Any disputes arising from this Purchase Order shall be resolved through arbitration in Baghdad, Iraq, in accordance with the rules of the Iraqi Arbitration Center.
- The supplier warrants that all goods are free from liens, encumbrances, and intellectual property claims, and that the shipment complies with all Iraqi import regulations, including those enforced by the Iraqi Customs Authority and the Ministry of Health in Baghdad.
- Force majeure events, including but not limited to regional political instability, sanctions, or natural disasters affecting the Republic of Iraq, shall be addressed through mutual written agreement between the parties and shall not constitute a basis for unilateral termination of this Purchase Order.
