Terms and Conditions of this Purchase Order

1. Scope: This Purchase Order is issued by the Dentist practice of Dr. Marco Bellini, operating in Milan, Italy, for the acquisition of dental equipment and consumables as itemized above. The supplier acknowledges that all goods are intended for use in a licensed dental clinic registered with the ASL (Azienda Sanitaria Locale) of Milan.
2. Regulatory Compliance: All medical devices and dental materials supplied under this Purchase Order must bear valid CE marking and comply with Regulation (EU) 2017/745 (Medical Device Regulation) as transposed into Italian law. The supplier shall provide all necessary documentation, including Italian-language user manuals and safety data sheets, prior to delivery.
3. Delivery: Goods shall be delivered to the Dentist practice premises at Via Montenapoleone 42, Milan, Italy, no later than 28 June 2025. Delivery within the city of Milan is included in the quoted price. The supplier is responsible for all transportation, handling, and on-site installation of capital equipment (Items 01, 06, and 07).
4. Payment: Payment of the full amount of €36,087.46 shall be made via bank transfer (bonifico bancario) to the supplier's designated Italian bank account within thirty (30) calendar days of receipt of a valid invoice. The Dentist practice reserves the right to withhold payment for any items found to be non-conforming or damaged upon delivery.
5. Warranty: All capital equipment (Items 01, 02, 06, 07, 10) carries a minimum two-year manufacturer's warranty valid in Italy. Consumable items (Items 03–05, 08, 09) must be delivered with a minimum shelf life of eighteen (18) months from the date of delivery. The supplier warrants that all goods are new, unused, and free from defects.
6. Acceptance & Inspection: The Dentist practice shall have five (5) business days from the date of delivery to inspect all items listed in this Purchase Order. Any discrepancies, shortages, or defects must be reported in writing to the supplier within this period. Failure to report within the stipulated timeframe shall constitute acceptance of the goods.
7. Force Majeure: Neither party shall be liable for delays or failures in performance resulting from events beyond reasonable control, including but not limited to natural disasters, government-imposed restrictions in Italy, or supply chain disruptions. The affected party must notify the other in writing within forty-eight (48) hours of the occurrence.
8. Governing Law & Jurisdiction: This Purchase Order shall be governed by and construed in accordance with the laws of the Italian Republic. Any disputes arising from or in connection with this Purchase Order shall be subject to the exclusive jurisdiction of the competent courts of Milan, Italy.
9. Confidentiality: Both parties agree to maintain strict confidentiality regarding the terms of this Purchase Order and any proprietary information exchanged in connection with the dental practice operations in Milan, Italy.
10. Amendments: No modification or amendment to this Purchase Order shall be valid unless made in writing and signed by both the Dentist practice representative and the authorized signatory of the supplier.
