1. Delivery: All items listed in this Purchase Order shall be delivered to the dental practice premises located at Via Toledo 142, 80132 Napoli (NA), Italy. The supplier, DentalPro Italia S.r.l., is responsible for all transportation, handling, and installation within the city of Naples. Delivery must be completed no later than 28 June 2025. Late delivery beyond five (5) business days entitles the buyer to a penalty of 0.5% of the total order value per day of delay.
2. Regulatory Compliance: All dental equipment and materials supplied under this Purchase Order must comply with the European Union Medical Device Regulation (EU) 2017/745, Italian national legislation including D.M. 17/01/2008 on dental equipment, and the specific requirements of ASL Napoli 1 Centro. The supplier shall provide all CE marking documentation, technical files, and conformity declarations prior to delivery.
3. Payment: Payment shall be made via bank transfer (bonifico bancario) to the supplier's designated Italian bank account within thirty (30) calendar days from the date of the valid invoice. The buyer's bank is Banco di Napoli, Filiale Centro Storico, IBAN: IT60 X010 0000 0000 0000 0000 000. No cash payments are accepted in accordance with Italian anti-money laundering regulations (D.Lgs. 231/2007).
4. Warranty: The supplier guarantees a minimum two-year warranty on all major dental equipment (chairs, X-ray sensors, autoclaves) and a one-year warranty on handpieces, curing lights, and suction units. Consumable items are covered under a 90-day defect replacement policy. Warranty service shall be provided at the Naples practice location at no additional cost to the buyer.
5. Installation and Training: DentalPro Italia S.r.l. shall provide on-site installation of the dental chair units, X-ray sensors, and autoclave at the Naples location. A minimum of four (4) hours of operator training for the dental team shall be included, conducted in Italian or English at the buyer's discretion.
6. Acceptance and Inspection: Upon delivery, the buyer's designated representative, Dr. Marco Esposito, shall inspect all items within five (5) business days. Any discrepancies, damage, or non-conformity must be reported in writing to the supplier within this period. Items not reported within this timeframe shall be deemed accepted.
7. Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to natural disasters, strikes, or government-mandated closures as may occur in the Campania region or the city of Naples.
8. Governing Law: This Purchase Order shall be governed by and interpreted in accordance with the laws of the Italian Republic. Any disputes arising from this order shall be subject to the exclusive jurisdiction of the Tribunale di Napoli, Italy.
9. Confidentiality: Both parties agree to maintain the confidentiality of all commercial terms, pricing, and patient-related information that may be exchanged in connection with this Purchase Order, in compliance with Italian data protection law (D.Lgs. 196/2003) and the EU General Data Protection Regulation (GDPR).
