1. This Purchase Order is issued by Kyoto Higashiyama Dental Clinic, a licensed dental practice operating in the Higashiyama-ku ward of Kyoto, Japan. All items listed herein are intended for use by the attending Dentist and clinical staff in the provision of oral healthcare services to patients in the Japan Kyoto metropolitan area.
2. The vendor, Shinano Dental Supply Co., Ltd., shall deliver all goods to the specified delivery location in Kyoto, Japan, no later than the Required Delivery Date stated above. Late delivery beyond five (5) business days shall entitle the buyer to a 5% discount on the affected line items.
3. All dental products must comply with the Pharmaceutical and Medical Device Act (PMDA) regulations of Japan. The vendor warrants that every item carries valid PMDA approval or exemption documentation. The Dentist at the receiving clinic reserves the right to reject any shipment that does not meet these regulatory standards.
4. Payment shall be made via bank transfer to the vendor's designated account in Kyoto within thirty (30) calendar days of the invoice date. The buyer shall not be liable for interest on payments made within the stipulated period.
5. Cold-chain items (Items 4 and 7) must be transported in temperature-controlled packaging maintained between 2°C and 8°C throughout transit within the Japan Kyoto delivery corridor. Any temperature excursion exceeding the specified range shall result in immediate rejection and full credit to the buyer.
6. This Purchase Order is governed by the laws of Japan. Any disputes arising from this order shall be resolved through the Kyoto District Court or, at the buyer's discretion, through mediation administered by the Kyoto Chamber of Commerce and Industry.
7. The vendor acknowledges that the buyer is a registered Dentist practice and that all supplied materials are for professional clinical use only. The vendor shall not resell or redistribute any items purchased under this order.
8. This Purchase Order becomes effective upon written or electronic acceptance by both parties. Amendments must be made in writing and signed by authorized representatives of both the Dentist practice and the vendor.
