- This Purchase Order is issued by Osaka Minami Dental Clinic, a registered dental practice operating in Japan Osaka, for the procurement of dental equipment, instruments, and consumable supplies necessary for the continued operation of the Dentist's clinical services.
- All items listed in this Purchase Order must comply with the Pharmaceuticals and Medical Devices Act (PMDA) regulations of Japan and must carry valid CE or Japan-specific medical device certification prior to delivery at the Japan Osaka facility.
- The supplier shall deliver all goods to the Dentist's clinic address in Chuo-ku, Japan Osaka, no later than the required delivery date stated above. Late delivery beyond five (5) business days entitles the buyer to cancel this Purchase Order without penalty.
- Payment shall be made via bank transfer to the supplier's designated account within thirty (30) calendar days of receipt of a valid tax invoice (seikyusho) conforming to Japan's Qualified Invoice System (Gotoh Seikyu Seido).
- All dental equipment must be installed, calibrated, and tested on-site by the supplier's certified technicians. The Dentist or a designated associate at the Japan Osaka clinic must sign a commissioning certificate before the Purchase Order is considered fulfilled.
- A minimum two-year manufacturer warranty applies to all capital equipment (items 1, 2, 3, 6, 7, and 9). Consumable items (items 4, 5, 8, and 10) are covered by a 90-day defect replacement guarantee.
- The supplier warrants that all materials are new, unused, and free from defects. Any item found to be non-conforming upon inspection by the Dentist's staff within fourteen (14) days of delivery shall be replaced at the supplier's sole expense.
- This Purchase Order is governed by the laws of Japan. Any disputes arising from this document shall be subject to the exclusive jurisdiction of the Osaka District Court in Japan Osaka.
- The supplier acknowledges that the buyer is a licensed dental practice and that all procured items are intended exclusively for professional use by a qualified Dentist and their clinical team in Japan Osaka. Resale or redistribution of the equipment is prohibited under this Purchase Order.
- Any amendments to this Purchase Order must be made in writing and signed by both parties. Verbal modifications are not binding.
