This Purchase Order is issued by Al-Nahda Dental Clinic, a licensed dental practice operating in Kuwait City, Kuwait, to procure essential dental equipment, consumable supplies, and specialized professional services required for the continued operation of our outpatient dental clinic. The Dentist and clinical team at Al-Nahda Dental Clinic require these items to maintain the highest standards of patient care in accordance with the regulations set forth by the Kuwait Ministry of Health. All goods and services referenced in this Purchase Order shall be delivered to and performed at our clinic premises located in Kuwait City, Kuwait, unless otherwise specified in the line-item descriptions below.

All prices are quoted in Kuwaiti Dinars (KWD). The above total is inclusive of 5% Value Added Tax as mandated by the Kuwait Authority for Public Revenue. No additional customs or import duties shall apply as all goods are sourced from within the State of Kuwait.

1. Acceptance: This Purchase Order shall become a binding contract upon written acceptance by the supplier. The supplier must confirm acceptance in writing within five (5) business days of the date of issue.
2. Delivery: All physical goods shall be delivered to the Al-Nahda Dental Clinic premises in Kuwait City, Kuwait, at the addresses specified in Section 1. The supplier bears all risk of loss or damage until goods are received and signed for by the clinic's procurement officer.
3. Quality and Compliance: All dental equipment and materials must comply with the standards and regulations of the Kuwait Ministry of Health and the Kuwait Standards and Metrology Organization (KSMO). The Dentist at the purchasing clinic reserves the right to reject any item that does not meet the specified quality, safety, or regulatory requirements.
4. Warranty: All capital equipment (Items 01, 02, 03, 06, 08) shall carry a minimum manufacturer's warranty of two (2) years from the date of installation. Consumable items (Items 04, 05, 09) must be within their stated shelf life at the time of delivery.
5. Payment: Payment shall be made via bank transfer to the supplier's designated account within thirty (30) calendar days of receipt of a valid tax invoice and confirmation of satisfactory delivery. Late payments shall incur a penalty of 1.5% per month as per Kuwaiti commercial law.
6. Professional Services: The annual dental cleaning and scaling service (Item 07) shall be performed by a licensed Dentist registered with the Kuwait Ministry of Health. All clinical procedures must be conducted in full compliance with the Kuwait Medical Specialties Board regulations.
7. Confidentiality: Both parties agree to maintain strict confidentiality regarding patient data, clinic operations, and any proprietary information exchanged in connection with this Purchase Order, in accordance with Kuwaiti data protection guidelines.
8. Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the State of Kuwait. Any disputes arising hereunder shall be subject to the exclusive jurisdiction of the competent courts in Kuwait City, Kuwait.
9. Force Majeure: Neither party shall be liable for failure to perform obligations due to events beyond reasonable control, including but not limited to natural disasters, government mandates, or public health emergencies declared in Kuwait.
