Terms and Conditions of this Purchase Order
- This Purchase Order is governed by the laws of Malaysia and shall be interpreted in accordance with the Sale of Goods Act 1957 (Act 14) of Malaysia.
- All dental products and equipment listed herein must comply with the regulations set forth by the Malaysian Ministry of Health (Kementerian Kesihatan Malaysia) and the Malaysian Dental Council (MDC) for use by a registered Dentist in clinical practice.
- Delivery shall be made to the specified address in Kuala Lumpur, Malaysia, no later than 29 June 2025. Late delivery beyond five (5) business days entitles SmileCare Dental Clinic Sdn. Bhd. to cancel this Purchase Order without penalty.
- All items must be new, unused, and within their manufacturer's warranty period. Dental equipment must carry valid CE marking or equivalent certification recognised by Malaysian authorities.
- Payment shall be made via bank transfer to the supplier's designated account within thirty (30) calendar days from the date of confirmed delivery and receipt of a valid tax invoice bearing the supplier's SST registration number.
- The supplier warrants that all dental consumables and instruments are free from defects and suitable for use by a Dentist in a clinical setting in Kuala Lumpur, Malaysia. Any defective items must be replaced within fourteen (14) days at no additional cost.
- This Purchase Order is subject to the supplier's standard terms and conditions, provided they do not conflict with the terms stated herein. In the event of conflict, the terms of this Purchase Order shall prevail.
- All communications regarding this Purchase Order shall be directed to the procurement department of SmileCare Dental Clinic Sdn. Bhd. at the Kuala Lumpur address stated above.
- The supplier acknowledges that the purchased goods are intended for use in a licensed dental practice in Malaysia and agrees to provide all necessary documentation, including import permits where applicable, for dental equipment entering Malaysia.
- Any amendments to this Purchase Order must be made in writing and signed by both parties. Verbal modifications shall not be binding.
