- Delivery: All items listed in this Purchase Order shall be delivered to the Shanti Dental Clinic & Implant Center premises located on New Road, Kathmandu, Nepal, within thirty (30) calendar days from the date of Purchase Order confirmation. The supplier, MediDent Nepal Pvt. Ltd., is responsible for all logistics, handling, and installation within the Kathmandu Valley.
- Payment: Payment shall be made via bank transfer to the supplier's designated account in Nepal within thirty (30) days of receipt of a valid tax invoice and confirmed delivery. The Dentist (buyer) reserves the right to withhold payment until all equipment is inspected and found to be in working order.
- Warranty: All dental equipment and instruments supplied under this Purchase Order carry a minimum manufacturer's warranty of two (2) years from the date of installation. The supplier shall coordinate warranty claims with the original manufacturer on behalf of the Dentist.
- Quality & Compliance: All products must comply with the regulatory standards set by the Department of Drug Administration (DDA), Nepal, and the Nepal Dental Association guidelines. The supplier must provide certificates of conformity, import permits, and CE/ISO certifications for all imported dental equipment.
- Installation & Training: The supplier shall provide on-site installation of the dental chair units, X-ray sensor, and autoclaves at the buyer's clinic in Kathmandu. Additionally, the supplier shall conduct a minimum of four (4) hours of hands-on training for the Dentist's clinical and support staff on the operation and maintenance of all delivered equipment.
- Acceptance & Inspection: The Dentist or an authorized representative shall inspect all delivered items within five (5) business days of delivery. Any defects, shortages, or non-conformities must be reported in writing to the supplier within this period. The supplier shall replace or repair non-conforming items at no additional cost within ten (10) business days.
- Force Majeure: Neither party shall be liable for delays caused by natural disasters (including earthquakes common in the Nepal region), government-imposed restrictions, customs clearance delays at Tribhuvan International Airport, or other events beyond reasonable control.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Kingdom of Nepal. Any disputes shall be resolved through arbitration in Kathmandu as per the Arbitration Act, 1995 of Nepal.
- Confidentiality: Both parties agree to maintain confidentiality regarding the terms, pricing, and business details contained in this Purchase Order. No information shall be disclosed to third parties without prior written consent.
- Amendments: Any modification to this Purchase Order must be made in writing and signed by both the Dentist (buyer) and the authorized representative of the supplier. Verbal agreements shall not be binding.
