1. This Purchase Order is binding upon acceptance by the supplier. The supplier shall confirm acceptance in writing within five (5) business days of receipt of this Purchase Order.
2. All dental equipment and supplies listed in this Purchase Order must be new, unused, and in original manufacturer packaging. The Dentist at Abuja Dental Care Centre Ltd. reserves the right to reject any item that does not meet the specified quality standards.
3. Delivery shall be made to the address specified in the Ship To section, located in Nigeria Abuja. The supplier is responsible for all transportation, insurance, and handling costs until the goods are received and inspected at the Dentist's facility.
4. Payment shall be made within thirty (30) days of the date of invoice, provided that all items have been delivered, inspected, and accepted by the Dentist and the procurement officer of Abuja Dental Care Centre Ltd.
5. A warranty period of not less than twelve (12) months shall apply to all capital equipment (dental chairs, X-ray sensors, autoclaves, and handpieces). Consumable items are covered under a thirty (30) day defect replacement policy.
6. The supplier shall provide full installation and training for the Dentist and dental assistants on all capital equipment delivered under this Purchase Order in Nigeria Abuja.
7. This Purchase Order is governed by the laws of the Federal Republic of Nigeria. Any disputes arising from this Purchase Order shall be resolved through arbitration in Abuja, FCT, Nigeria.
8. The supplier warrants that all products comply with NAFDAC registration requirements and MDCN guidelines for dental practice in Nigeria Abuja.
