Terms and Conditions of This Purchase Order
- This Purchase Order is issued by Lagos Dental Clinic & Oral Health Centre, a registered dental practice operating in Victoria Island, Lagos, Nigeria, and is governed by the laws of the Federal Republic of Nigeria.
- All dental equipment, consumables, and supplies listed above must meet the standards set by the Medical and Dental Council of Nigeria (MDCN) and the National Agency for Food and Drug Administration and Control (NAFDAC). The supplier shall provide valid NAFDAC registration certificates for all pharmaceutical and medical items upon delivery.
- Delivery must be completed no later than 26 June 2025 at the specified Lagos address. Late delivery beyond five (5) business days entitles the clinic to cancel this Purchase Order without penalty and seek alternative sourcing.
- Payment shall be made within thirty (30) calendar days from the date of confirmed receipt and inspection of all goods. Payment will be processed via bank transfer to the supplier's designated account in Naira (NGN).
- The supplier warrants that all dental instruments, handpieces, and equipment are new, unused, and free from defects. A minimum two-year manufacturer's warranty applies to all capital equipment (Items 3 and 8).
- The clinic reserves the right to inspect all delivered goods within seven (7) business days of receipt. Any items found to be damaged, expired, or non-conforming to the specifications in this Purchase Order shall be returned at the supplier's expense and replaced within ten (10) business days.
- All prices are quoted in Nigerian Naira (NGN) and are inclusive of applicable taxes unless otherwise stated. The 7.5% VAT is applied in accordance with the Nigeria Value Added Tax Act, 2004 (as amended).
- This Purchase Order does not constitute a binding contract until countersigned by both parties. Any amendments must be made in writing and signed by authorized representatives of both Lagos Dental Clinic and MedDent Nigeria Supplies Ltd.
- The supplier shall comply with all occupational health and safety regulations applicable in Lagos State, Nigeria, during the delivery and installation of any equipment.
- Disputes arising from this Purchase Order shall be resolved through arbitration in Lagos, Nigeria, in accordance with the Arbitration and Conciliation Act, Cap A18, Laws of the Federation of Nigeria, 2004.
