Terms and Conditions – Purchase Order for Dental Practice, Lima, Peru
- Payment Terms: 50% advance payment upon confirmation of this Purchase Order; 50% balance due within 15 business days after delivery and acceptance at the clinic in Lima, Peru. Payment to be made via bank transfer to the supplier's account in Peruvian Soles (PEN).
- Delivery: All items shall be delivered to the Dentist's practice located in San Isidro, Lima, Peru, no later than June 26, 2025. The supplier is responsible for all logistics, customs clearance (if applicable for imported goods), and final-mile delivery within the Lima metropolitan area.
- Warranty: All dental equipment and machinery shall carry a minimum 24-month manufacturer's warranty. Consumable supplies (gloves, composites, burs) are non-returnable once opened. The Dentist team at Clínica Dental Sonrisa Andina shall inspect all items upon arrival and report any discrepancies within 5 business days.
- Regulatory Compliance: All medical and dental devices included in this Purchase Order must comply with the regulations established by DIGEMID (Dirección General de Medicamentos, Insumos y Productos Médicos) of the Ministry of Health of Peru. The supplier shall provide all necessary registration certificates, technical files, and conformity declarations prior to delivery in Lima, Peru.
- Installation and Training: The supplier shall provide on-site installation of the dental chair units, X-ray machine, and autoclaves at the practice in Lima, Peru. Additionally, a minimum of 4-hour training session for the Dentist staff on proper operation and maintenance of all installed equipment is included at no additional cost.
- Penalties for Late Delivery: In the event of delayed delivery beyond the agreed date, the supplier shall be liable for a penalty of 0.5% of the total Purchase Order value per calendar day of delay, up to a maximum of 10%. Delays exceeding 15 days entitle the buyer to cancel this Purchase Order without penalty.
- Governing Law: This Purchase Order shall be governed by and interpreted in accordance with the commercial laws of the Republic of Peru. Any disputes arising from this agreement shall be resolved in the competent courts of Lima, Peru.
- Confidentiality: Both parties agree to maintain confidentiality regarding pricing, business terms, and patient-related information handled at the dental practice in Lima, Peru.
