Terms and Conditions of This Purchase Order
- Scope: This Purchase Order is issued by Saint Petersburg Advanced Dental Clinic LLC for the procurement of dental equipment, instruments, and consumable supplies. All items listed are intended for use in the dental practice's clinical operations in Russia Saint Petersburg.
- Delivery: The supplier shall deliver all items to the dental clinic premises at 42 Nevsky Prospekt, Saint Petersburg, 191011, Russia, no later than 28 June 2025. Delivery shall include installation and calibration of all capital equipment (Items 01, 04, 06, 07) by certified technicians.
- Compliance: All dental equipment and medical devices must hold valid Roszdravnadzor registration certificates for use in the Russian Federation. The supplier warrants that all products meet GOST and ISO standards applicable to dental practice in Russia Saint Petersburg.
- Payment: Payment of the full Purchase Order amount of 5,069,400.00 RUB shall be made within thirty (30) calendar days of the date of invoice issuance, via bank transfer to the supplier's designated account in Russia.
- Warranty: The supplier provides a minimum two-year warranty on all capital dental equipment and a one-year warranty on handpieces and instruments. Consumable items are covered under a 90-day defect replacement policy.
- Acceptance: The dental clinic's procurement officer shall inspect all delivered items within five (5) business days of receipt. Any discrepancies, damages, or non-conformities must be reported in writing to the supplier within this period.
- Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to natural disasters, government sanctions, or disruptions to supply chains affecting Russia Saint Petersburg.
- Governing Law: This Purchase Order shall be governed by and interpreted in accordance with the Civil Code of the Russian Federation. Any disputes shall be resolved through arbitration in Saint Petersburg, Russia.
- Confidentiality: Both parties agree to maintain confidentiality regarding the terms, pricing, and specifications contained in this Purchase Order and any related dental practice operational data.
- Amendments: Any modifications to this Purchase Order must be made in writing and signed by authorized representatives of both the dental clinic and the supplier.
