- This Purchase Order is issued by Al-Shifa Dental Clinic, a licensed dental practice operating in Jeddah, Saudi Arabia, and is binding upon acceptance by the supplier.
- All dental equipment and supplies listed in this Purchase Order must comply with the Saudi Food and Drug Authority (SFDA) regulations and carry valid CE or equivalent international certifications prior to delivery.
- The Dentist and clinical team at Al-Shifa Dental Clinic require that all items be delivered to the clinic premises in the Al Zahra District, Jeddah, Saudi Arabia, at the address specified above. Installation and calibration of major equipment (Items 1, 5, 6, and 8) shall be performed by the supplier's certified technicians.
- Payment shall be made via bank transfer to the supplier's designated account within thirty (30) calendar days from the date of confirmed delivery and acceptance of all items listed in this Purchase Order.
- The supplier warrants that all goods are new, unused, and free from defects. A minimum two-year manufacturer's warranty applies to all capital equipment. Consumable items (Items 4, 7, 9) carry a standard 90-day replacement warranty.
- Delivery timelines stated in this Purchase Order are estimates. The supplier shall notify the Dentist in writing at least five (5) business days in advance of any anticipated delay. Delays exceeding fourteen (14) days beyond the stated delivery date entitle the buyer to cancel the affected line items without penalty.
- All pricing in this Purchase Order is denominated in Saudi Riyals (SAR) and is inclusive of all applicable taxes unless otherwise stated. The 15% Value Added Tax (VAT) as mandated by the Zakat, Tax and Customs Authority of Saudi Arabia is applied as shown in the totals section.
- This Purchase Order is governed by the laws of the Kingdom of Saudi Arabia. Any disputes arising from this transaction shall be resolved through the competent courts in Jeddah, Saudi Arabia.
- The supplier acknowledges that the end-user of all procured items is a licensed Dentist and dental practice registered with the Saudi Commission for Health Specialties (SCFHS). All equipment must be suitable for clinical use in a dental setting in Jeddah, Saudi Arabia.
- Any modifications, additions, or cancellations to this Purchase Order must be made in writing and signed by both parties. Verbal agreements shall not be considered valid amendments to this document.
