- Payment Terms: Payment shall be made within thirty (30) calendar days from the date of confirmed delivery and acceptance of goods at the receiving facility in Riyadh, Saudi Arabia. Payment will be processed via bank transfer to the supplier's designated account in Saudi Riyal (SAR).
- Delivery: The supplier shall deliver all items listed in this Purchase Order to the specified address in Riyadh, Saudi Arabia, no later than the Required Delivery Date stated above. Delivery must be made between 08:00 and 16:00 KSA time, Monday through Friday, in accordance with the working schedule of the dental practice.
- Quality Assurance: All dental instruments, equipment, and consumables must be new, unused, and in their original manufacturer packaging. The supplier warrants that all items meet the specifications outlined in this Purchase Order and comply with SFDA and Ministry of Health (MOH) Saudi Arabia standards for dental practice operations.
- Warranty: Capital equipment items (X-Ray system, Autoclave, Dental Chair, Operating Light) carry a minimum two-year manufacturer warranty. The supplier shall coordinate warranty registration with the relevant manufacturer's service center in Riyadh or the nearest authorized service location within Saudi Arabia.
- Inspection & Acceptance: Upon delivery, the receiving staff at Al-Riyadh Dental Care Center shall inspect all items within five (5) business days. Any discrepancies, damages, or non-conforming items must be reported in writing to the supplier within this period. Failure to report within this window constitutes acceptance of the goods.
- Regulatory Compliance: The supplier acknowledges that this Purchase Order is issued for a licensed dental practice operating under the jurisdiction of the Riyadh Ministry of Health. All medical devices must hold valid SFDA registration. The supplier shall provide copies of all relevant certificates, import permits, and conformity declarations alongside the delivery.
- Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to government-mandated closures, natural disasters, or supply chain disruptions affecting the Kingdom of Saudi Arabia.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Kingdom of Saudi Arabia. Any disputes arising from this document shall be resolved through the competent courts in Riyadh, Saudi Arabia.
- Validity: This Purchase Order is valid for sixty (60) days from the date of issue. If the supplier does not confirm acceptance in writing within ten (10) business days, this Purchase Order shall be considered void.
- Confidentiality: Both parties agree to maintain the confidentiality of all business information exchanged in connection with this Purchase Order, including pricing, patient-related operational details of the dental practice, and proprietary product information.
