This Purchase Order is issued by the undersigned Dentist and authorized procurement officer of Clinique Dentaire du Lac Rose, a registered dental practice located in the Plateau district of Dakar, Senegal. The following items are required to maintain and expand the clinical operations of our Dentist office, ensuring that all patients receiving oral health care in Senegal Dakar receive the highest standard of treatment. - This Purchase Order is binding upon acceptance by the vendor. The Dentist practice of Clinique Dentaire du Lac Rose in Senegal Dakar reserves the right to inspect all delivered goods within five (5) business days of arrival at the Plateau district facility.
- All dental equipment and consumables listed in this Purchase Order must bear valid CE marking and comply with UEMOA medical device regulations applicable in Senegal. The Dentist is legally obligated under Senegalese health law to use only certified instruments.
- Delivery shall be made DDP (Delivered Duty Paid) to the address: 14 Boulevard du Président Léopold Sédar Senghor, Plateau, Dakar, Senegal. The vendor is responsible for all customs clearance procedures at the Port of Dakar and inland transport to the Dentist's clinic.
- Payment shall be made via bank transfer to the vendor's designated account within thirty (30) calendar days of the date of this Purchase Order, subject to satisfactory delivery and inspection. The payment shall be processed through the Central Bank of West African States (BCEAO) banking network in Dakar, Senegal.
- Warranty: All capital equipment (Items 001, 002, 006) carries a minimum two-year manufacturer's warranty. The Dentist practice in Senegal Dakar shall be entitled to on-site repair or replacement at no additional cost during the warranty period.
- In the event of non-delivery or defective goods, the Dentist may cancel this Purchase Order in whole or in part and request a full refund within fourteen (14) days of written notice. The vendor shall bear all costs associated with the return shipment from Senegal Dakar.
- This Purchase Order is governed by the laws of the Republic of Senegal and the OHADA (Organisation pour l'Harmonisation en Afrique du Droit des Affaires) commercial code. Any disputes shall be resolved by the competent commercial court of Dakar, Senegal.
- The Dentist practice acknowledges that all prices are quoted in West African CFA Francs (XOF) and are fixed for the duration of this Purchase Order. No price adjustments shall be made due to exchange rate fluctuations between EUR and XOF.
- Confidentiality: Both parties agree that the terms of this Purchase Order, including pricing and the identity of the Dentist practice, shall remain confidential and shall not be disclosed to third parties without written consent.
This Purchase Order is issued and authorized by the undersigned, acting in the capacity of the lead Dentist and Director of Clinique Dentaire du Lac Rose, Senegal Dakar. By signing below, the vendor confirms acceptance of all terms, quantities, and pricing as stated in this document.
