Terms and Conditions – Purchase Order for Dental Practice in Barcelona, Spain
- This Purchase Order is issued by Clínica Dental Barcelona, a registered dental practice operating in Barcelona, Spain, and is governed by the Spanish Civil Code and applicable commercial regulations of the Principality of Catalonia.
- All dental equipment and consumables listed herein must comply with the European Union Medical Devices Regulation (EU) 2017/745 and must bear the CE marking. Products must be registered with the Spanish Agency for Medicines and Medical Devices (AEMPS) prior to delivery at the Barcelona clinic premises.
- Delivery shall be made to the dental practice address in Barcelona, Spain, no later than the required delivery date stated above. The supplier is responsible for all transportation, insurance, and installation of dental equipment within the Barcelona clinic facilities.
- Payment shall be made via bank transfer to the supplier's account in Spain within thirty (30) calendar days of receipt of a valid invoice. Late payments shall accrue interest at the rate established by the Spanish Late Payment Directive (Ley 3/2004).
- The supplier warrants that all dental instruments, handpieces, and equipment are new, unused, and free from defects. A minimum warranty period of two (2) years applies to all capital dental equipment purchased under this order for the Barcelona practice.
- Any non-conforming or damaged dental supplies upon delivery in Barcelona must be reported to the supplier within five (5) business days. The supplier shall replace defective items at no additional cost to the dental practice.
- This Purchase Order does not constitute a binding contract until countersigned by both parties. The supplier's acceptance of this order shall be confirmed in writing via email to the procurement department of Clínica Dental Barcelona.
- All communications regarding this Purchase Order shall be conducted in Spanish or English. In the event of any dispute, the competent courts of Barcelona, Spain, shall have exclusive jurisdiction.
- The supplier shall maintain full compliance with Spanish data protection regulations (LOPDGDD 3/2018) and the EU General Data Protection Regulation (GDPR) for any personal data exchanged during the fulfilment of this dental supply order.
