Terms & Conditions – Purchase Order for Dental Practice, Bangkok, Thailand
- This Purchase Order is issued by SmileCare Dental Clinic Co., Ltd., a registered dental practice operating in Bangkok, Thailand, for the procurement of dental equipment and consumables necessary for the Dentist team to deliver patient care.
- All dental products supplied under this Purchase Order must bear valid Thai FDA registration numbers and comply with the Medical Device Act B.E. 2551 (2008) of Thailand. The supplier shall provide certificates of conformity and import permits where applicable.
- Delivery shall be made to the clinic address in Khlong Toei, Bangkok, Thailand, no later than 29 June 2025. The supplier is responsible for all transportation, insurance, and customs clearance within Thailand.
- Payment shall be made in Thai Baht (THB) via bank transfer within thirty (30) calendar days of receipt of a valid tax invoice (Fap Ton) issued in accordance with Thai Revenue Department regulations.
- The supplier warrants that all dental instruments, handpieces, and equipment are new, unused, and free from defects. A minimum two-year warranty applies to all capital equipment (autoclave, dental chair, intraoral cameras, and curing lights).
- Any items not meeting the specifications outlined in this Purchase Order, or failing Thai regulatory standards for dental materials, shall be rejected at the Dentist clinic's receiving inspection. Rejected items must be replaced within five (5) business days at the supplier's sole cost.
- This Purchase Order is governed by the laws of the Kingdom of Thailand. Any disputes arising from this Purchase Order shall be resolved through the courts of competent jurisdiction in Bangkok, Thailand.
- The supplier acknowledges that the purchased items are intended exclusively for use in a licensed dental practice in Bangkok and shall not be resold or diverted. The Dentist practice reserves the right to audit the supply chain for compliance.
- Force majeure events, including but not limited to natural disasters affecting Bangkok or nationwide supply chain disruptions, shall extend delivery timelines by a mutually agreed period not exceeding fourteen (14) days.
- This Purchase Order becomes effective upon written acceptance by both parties. No modification shall be valid unless made in writing and signed by authorized representatives of both the dental clinic and the supplier.
