1. This Purchase Order is issued by Al Noor Dental Clinic LLC, a licensed dental practice registered with the Department of Health (DoH) Abu Dhabi, United Arab Emirates. All goods and services procured under this order shall comply with the regulatory standards set forth by the DoH Abu Dhabi and the Emirates Authority for Standardization and Metrology (ESMA).
2. The supplier, Gulf Dental Supplies FZE, warrants that all dental equipment, instruments, and consumables listed herein are new, unused, and in full compliance with the Medical Devices Regulation of the United Arab Emirates. All imported dental products must bear valid ESMA certification and DoH Abu Dhabi import permits prior to delivery.
3. Payment shall be made via bank transfer to the supplier's designated account within thirty (30) calendar days from the date of receipt of a valid tax invoice issued in accordance with the Federal Tax Authority (FTA) guidelines of the United Arab Emirates. The invoice must include the supplier's Tax Registration Number (TRN) and the applicable 5% Value Added Tax (VAT).
4. Delivery shall be made to the clinic premises at Khalifa Street, Al Reef Area, Abu Dhabi, United Arab Emirates. The supplier is responsible for all transportation, customs clearance (if applicable), insurance, and installation of equipment within the Abu Dhabi municipality boundaries. Risk of loss transfers to the buyer upon signed delivery receipt.
5. All capital dental equipment (Items 01, 02, 06, and 08) shall carry a minimum manufacturer's warranty of three (3) years, with on-site service coverage within the Abu Dhabi emirate. The supplier shall provide a dedicated service hotline accessible during standard business hours (Sunday to Thursday, 8:00 AM to 5:00 PM GST).
6. In the event of non-conforming goods or delayed delivery beyond the stipulated date, the buyer reserves the right to reject the shipment, withhold payment, or claim liquidated damages at a rate of 0.5% of the total order value per day of delay, up to a maximum of 10%.
7. This Purchase Order is governed by the laws of the United Arab Emirates and the specific commercial regulations of Abu Dhabi. Any disputes arising from this order shall be subject to the exclusive jurisdiction of the Abu Dhabi Courts.
Important Note for Supplier: All dental products and medical devices delivered to this clinic in Abu Dhabi must be accompanied by original certificates of conformity, material safety data sheets (MSDS), and valid DoH Abu Dhabi import permits. Failure to provide complete documentation will result in the rejection of the entire consignment at the port of entry or upon delivery at the clinic.
