- This Purchase Order is issued by Al Noor Dental Clinic LLC, a licensed dental practice operating in Dubai, United Arab Emirates, and constitutes a binding procurement commitment upon acceptance by the supplier.
- All dental equipment and supplies listed herein must comply with the regulatory standards set forth by the Dubai Health Authority (DHA) and the Ministry of Health and Prevention (MOHAP) of the United Arab Emirates. Non-compliant items will be rejected at the point of delivery without penalty to the buyer.
- The supplier shall ensure that all imported dental products bear valid CE marking, ISO 13485 certification, and GSO (Gulf Standardization Organization) conformity documentation prior to delivery at the Dubai clinic premises.
- Delivery shall be made to the specified address in Al Barsha 1, Dubai, United Arab Emirates, between 08:00 and 16:00 UAE Standard Time (GST, UTC+4). The supplier is responsible for all freight, customs clearance, and last-mile delivery costs within the Emirate of Dubai.
- Payment shall be processed via bank transfer to the supplier's designated UAE bank account within thirty (30) calendar days of receipt of a valid tax invoice bearing the supplier's UAE Tax Registration Number. Late payments shall accrue interest at 1.5% per month as per UAE commercial law.
- The supplier warrants that all dental instruments, implants, and restorative materials are new, unused, and free from defects. A minimum warranty period of two (2) years applies to all capital equipment, and twelve (12) months to all consumable and electronic items.
- In the event of partial delivery or non-conforming goods, the buyer reserves the right to reject the affected line items and request replacement within fourteen (14) days at the supplier's sole expense. Repeated non-compliance may result in termination of this Purchase Order and any future procurement agreements.
- This Purchase Order is governed by the laws of the United Arab Emirates, specifically the Federal Commercial Transactions Law and the Dubai Civil Code. Any disputes arising from this document shall be subject to the exclusive jurisdiction of the Dubai Courts.
- All personal data and patient-related information processed under this Purchase Order (including software licensing) shall comply with the UAE Federal Decree-Law No. 45 of 2021 on the Protection of Personal Data.
- This Purchase Order shall remain valid for sixty (60) days from the date of issue. If the supplier does not confirm acceptance in writing within ten (10) business days, this document shall be considered lapsed and void.
