- This Purchase Order is issued by Whitfield & Associates Dental Practice, a registered dental practice operating in Birmingham, United Kingdom, and constitutes a formal request for supply of dental equipment, clinical consumables, and patient-care materials as itemised above.
- All goods must comply with the UK Medical Devices Regulations 2002 (as amended) and must carry valid CE or UKCA marking where applicable. The supplier warrants that all dental products supplied are fit for clinical use in a registered dental practice in Birmingham, United Kingdom.
- Delivery shall be made to the practice address at 42 Colmore Row, Birmingham, B3 2AA, United Kingdom, between 08:00 and 16:00 on a weekday. The supplier is responsible for all transit risk until goods are signed for by an authorised representative of the dental practice.
- Payment shall be made by BACS transfer within thirty (30) calendar days of receipt of a valid tax invoice, in accordance with the UK Prompt Payment Code. - All items are subject to inspection upon delivery. Any damaged, incorrect, or non-conforming goods must be reported to the procurement team at Whitfield & Associates within five (5) working days. The supplier shall replace or refund non-conforming items at their own cost within ten (10) working days.
- This Purchase Order is governed by the laws of England and Wales. Any disputes arising from this Purchase Order shall be subject to the exclusive jurisdiction of the courts of Birmingham, United Kingdom.
- The supplier acknowledges that the goods ordered are intended for use in a clinical dental setting serving patients in the Birmingham, United Kingdom area, and accepts full professional liability for the safety and regulatory compliance of all supplied products.
- Neither party shall be liable for failure to perform obligations under this Purchase Order to the extent caused by force majeure events, including but not limited to industrial action, supply chain disruption, or government-imposed restrictions within the United Kingdom.
- This Purchase Order may only be amended in writing, signed by both parties. Verbal modifications are not binding. All communications regarding this Purchase Order shall be directed to the procurement email address stated above.
