Terms and Conditions of this Purchase Order
- Delivery Location: All goods shall be delivered to the Tashkent Smile Dental Clinic, 42 Amir Temur Avenue, Mirzo Ulug'bek District, Tashkent, Uzbekistan. The Dentist and practice staff will be present to inspect and sign the delivery receipt upon arrival.
- Delivery Deadline: The supplier shall ensure that all items listed in this Purchase Order are delivered no later than 30 August 2025. Late delivery beyond 14 days will result in a penalty of 1.5% of the total order value per week of delay.
- Payment Terms: 40% advance payment upon confirmation of this Purchase Order; 60% balance payment within 15 business days after successful delivery and inspection in Uzbekistan Tashkent. Payments shall be made via international wire transfer to the supplier's designated bank account.
- Warranty: All capital equipment (dental chairs, X-ray sensors, autoclave, handpieces, and curing lights) shall carry a minimum 24-month manufacturer's warranty. The Dentist reserves the right to return defective items within 30 days of delivery for full replacement or refund.
- Regulatory Compliance: All dental supplies and equipment must meet the quality and safety standards required by the Ministry of Health of the Republic of Uzbekistan. The supplier shall provide all necessary certificates of conformity, CE markings, and import documentation to facilitate customs clearance at Tashkent International Airport or the Tashkent Dry Port.
- Intellectual Property: The supplier warrants that all products are free from any intellectual property claims. The Dentist in Uzbekistan Tashkent shall not be held liable for any third-party IP disputes arising from the supplied goods.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the Civil Code of the Republic of Uzbekistan and the United Nations Convention on Contracts for the International Sale of Goods (CISG). Any disputes shall be resolved through arbitration in Tashkent, Uzbekistan.
- Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to natural disasters, government sanctions, or disruptions to international shipping routes affecting delivery to Uzbekistan Tashkent.
- Acceptance: This Purchase Order becomes binding upon written acceptance by both the Dentist (buyer) and the supplier. Any modifications must be made in writing and signed by both parties.
