Terms, Conditions & Special Instructions
- This Purchase Order is issued by Clínica Dental El Ávila, a registered dental practice in Caracas, Venezuela, and is governed by the commercial laws of the Bolivarian Republic of Venezuela.
- All dental supplies and equipment listed above must comply with the regulatory standards established by the Ministerio del Poder Popular para la Salud (MPPS) of Venezuela and the Consejo Profesional de Odontología (CPO) of the state of Miranda, where Caracas is located.
- The supplier, MedDental Distribuciones C.A., is a licensed distributor of dental products operating within the Caracas metropolitan area and is responsible for ensuring that all items meet the quality and safety certifications required for use in a Venezuelan dental clinic.
- Delivery must be made to the receiving address in Chacao, Caracas, no later than 28 June 2025. Late delivery beyond five (5) business days entitles the dental practice to a 5% discount on the total Purchase Order value.
- Payment shall be processed via bank transfer to the supplier's account at Banco Mercantil, Caracas branch, within thirty (30) calendar days of the date of the commercial invoice. The exchange rate for any USD-denominated components shall be the official BCV (Banco Central de Venezuela) rate on the day of payment.
- Cold-chain items (Line 4 and Line 7) must be transported in temperature-controlled packaging between 2°C and 8°C. The dental practice reserves the right to reject any shipment where temperature logs indicate deviation from this range.
- All dental instruments and handpieces (Line 3) must arrive with valid warranty documentation (minimum 12 months) and CE or FDA registration certificates as applicable for importation into Venezuela.
- This Purchase Order is valid for acceptance within ten (10) business days of the issue date. The supplier must confirm acceptance in writing via email to the purchasing department of the dental clinic.
- Any disputes arising from this Purchase Order shall be resolved through the commercial courts of the state of Miranda, Caracas, Venezuela, in accordance with the Venezuelan Commercial Code.
