- This Purchase Order constitutes a binding agreement between the Buyer and the Dietitian service provider upon signature by both parties. All terms are governed by the Civil and Commercial Code of the Argentine Nation and applicable provincial regulations in Buenos Aires.
- The Dietitian shall perform all services at the Buyer's premises located in Buenos Aires, Argentina, or at such other location within the city of Buenos Aires as mutually agreed in writing. The Dietitian is responsible for all professional equipment, diagnostic tools, and nutritional software required to fulfill the scope of work.
- Payment shall be made in Argentine Pesos (ARS) via bank transfer to the account designated by the Dietitian. Invoices must be issued in accordance with Argentine tax regulations (AFIP / ARCA compliance). The 21% IVA is included in the total amount stated in this Purchase Order.
- The Dietitian warrants that all services will be performed in accordance with the professional standards of the Colegio de Nutricionistas de la Provincia de Buenos Aires and the ethical code of the Argentine dietetics profession. The Dietitian shall maintain valid professional liability insurance throughout the duration of this engagement.
- Confidentiality: The Dietitian shall treat all employee health data, nutritional assessments, and dietary plans as strictly confidential in accordance with Argentine Law 25.326 on Personal Data Protection. No information pertaining to individual employees shall be disclosed to third parties without written consent.
- Termination: Either party may terminate this Purchase Order with 30 days' written notice. In the event of early termination, the Buyer shall compensate the Dietitian for all services rendered up to the date of termination, plus a 10% administrative fee on the remaining contract value.
- Dispute Resolution: Any dispute arising from this Purchase Order shall be resolved through binding arbitration in Buenos Aires, Argentina, in accordance with the rules of the Argentine Chamber of Commerce. The applicable jurisdiction is the courts of the City of Buenos Aires.
- Force Majeure: Neither party shall be liable for delays or failures in performance resulting from events beyond reasonable control, including but not limited to natural disasters, government mandates, or public health emergencies affecting the Buenos Aires metropolitan area.
- This Purchase Order is valid for a period of 30 calendar days from the date of issue. Acceptance beyond this period requires written reconfirmation by the Buyer.
