Terms and Conditions

1. Scope of Engagement: This Purchase Order authorizes the contracted Dietitian to provide all clinical nutrition services as itemized above. All services shall be rendered in compliance with the professional standards established by the Colegio de Nutricionistas de la Provincia de Córdoba and applicable Argentine health regulations.
2. Service Period: The Dietitian shall perform all obligations under this Purchase Order from 1 July 2025 through 30 September 2025, unless otherwise extended by mutual written agreement.
3. Payment Terms: Payment shall be made within thirty (30) calendar days of receipt of a valid invoice (Factura A) issued by the Dietitian's business entity. Payment will be processed via bank transfer to the account specified on the invoice. All amounts are denominated in Argentine Pesos (ARS) and are subject to the 21% IVA as per Argentine tax law.
4. Professional Compliance: The Dietitian warrants that they hold a valid professional license (matrícula) issued by the competent authority in Argentina Córdoba and that all services will be performed in accordance with the Argentine Food Safety and Quality Law (Ley 18.284) and the regulations of the Administración Nacional de Medicamentos, Alimentos y Tecnología Médica (ANMAT).
5. Confidentiality: The Dietitian shall maintain strict confidentiality regarding all patient information, hospital operations, and proprietary dietary data encountered during the performance of this Purchase Order, in accordance with Argentine data protection law (Ley 25.326).
6. Cancellation and Termination: Either party may terminate this Purchase Order with fifteen (15) days' written notice. In the event of early termination, the Dietitian shall be compensated for all services rendered up to the date of termination, plus any non-recoverable expenses pre-authorized in writing.
7. Dispute Resolution: Any dispute arising from this Purchase Order shall be resolved through the competent civil and commercial courts of the city of Córdoba, Province of Córdoba, Argentina Córdoba. Both parties agree to attempt mediation before initiating litigation.
8. Insurance: The Dietitian shall maintain professional liability insurance (seguro de responsabilidad civil profesional) with a minimum coverage of ARS 50,000,000 for the duration of this Purchase Order and shall provide a certificate of coverage upon request.
9. Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Argentine Republic, specifically the Civil and Commercial Code of Argentina and the regulations applicable in the Province of Córdoba.
