This Purchase Order is issued by Melbourne Corporate Health Solutions Pty Ltd to engage the services of a qualified and accredited Dietitian to deliver comprehensive nutritional counselling, dietary assessment, and evidence-based meal planning programs for the company's workforce located in Australia Melbourne. The Dietitian shall operate in accordance with the National Health and Medical Research Council (NHMRC) dietary guidelines and the professional standards set by the Dietitians Association of Australia.

The scope of this Purchase Order encompasses the provision of one-on-one Dietitian consultations, group nutrition workshops, corporate wellness dietary audits, and the development of tailored dietary management plans for employees with specific health conditions including but not limited to type 2 diabetes, cardiovascular disease, obesity, food allergies, and gestational nutrition requirements. All services shall be delivered at the Melbourne Corporate Health Solutions premises in Australia Melbourne or at the Dietitian's registered practice location in Carlton, Melbourne, as mutually agreed upon in writing.

5.1 Professional Standards: The Dietitian engaged under this Purchase Order must hold current accreditation as an Accredited Practising Dietitian (APD) through the Dietitians Association of Australia and maintain professional indemnity insurance with a minimum coverage of AUD $10,000,000. The Dietitian shall adhere to the DAA Code of Ethics and the Australian Privacy Principles at all times.

5.2 Service Location: All in-person Dietitian services shall be delivered at the buyer's premises located in Australia Melbourne (Level 12, 88 Collins Street, Melbourne VIC 3000) or at the Dietitian's registered practice in Carlton, Melbourne, as specified in the individual service booking. Travel within the greater Melbourne metropolitan area is included in the pricing above.

5.3 Payment Terms: Payment shall be made within 30 days of receipt of a valid tax invoice from the Dietitian's practice. Invoices shall be submitted monthly in arrears. The total Purchase Order value of AUD $141,900.00 (inclusive of GST) shall be invoiced in equal monthly instalments of AUD $11,825.00 over the 12-month contract period, subject to actual service delivery.

5.4 Cancellation and Rescheduling: Individual Dietitian consultations may be rescheduled up to 48 hours in advance without charge. Cancellations within 48 hours will incur a 50% fee of the applicable session rate. Group workshops cancelled less than 7 days prior will be charged in full.

5.5 Confidentiality: The Dietitian shall treat all employee health information, dietary records, and personal data as strictly confidential in accordance with the Privacy Act 1988 (Cth) and the Australian Privacy Principles. No employee dietary information shall be disclosed to the buyer beyond aggregate, de-identified wellness reporting.

5.6 Termination: Either party may terminate this Purchase Order with 60 days' written notice. In the event of termination, the buyer shall pay for all Dietitian services rendered up to the date of termination.

5.7 Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the State of Victoria, Australia Melbourne. Any disputes shall be resolved through the Victorian Civil and Administrative Tribunal (VCAT) or the courts of Victoria.

5.8 Insurance and Compliance: The Dietitian shall maintain public liability insurance of no less than AUD $20,000,000 and professional indemnity insurance throughout the term of this Purchase Order. Certificates of insurance shall be provided upon request.
