- Professional Qualification: The Dietitian engaged under this Purchase Order must hold current accreditation as an Accredited Practising Dietitian (APD) through the Dietitians Association of Australia and maintain valid professional indemnity insurance with a minimum coverage of AUD $10,000,000. The supplier shall provide evidence of registration prior to the commencement date.
- Service Location: All on-site services shall be delivered within the Australia Sydney metropolitan area, specifically at the purchaser's offices located at 128 George Street, Sydney NSW 2000, or at such other locations within Greater Sydney as mutually agreed in writing.
- Payment Terms: Payment shall be made within thirty (30) calendar days of receipt of a valid tax invoice from the supplier. Invoices must reference this Purchase Order number (PO-2025-SDY-04872) and include the supplier's ABN. Payment shall be made via electronic funds transfer (EFT) to the bank account nominated by the supplier.

- Confidentiality: All client dietary information, health records, and nutritional data collected by the Dietitian during the performance of this Purchase Order shall be treated as strictly confidential. No client information shall be disclosed to any third party without the written consent of the client, except where required by Australian law.
- Performance Standards: The Dietitian shall adhere to the NHMRC Australian Dietary Guidelines (2019) and the DAA Code of Ethics. If mediation fails, the dispute shall be subject to the exclusive jurisdiction of the courts of New South Wales, Australia.
- Insurance and Indemnity: The supplier shall maintain public liability insurance of no less than AUD $20,000,000 and professional indemnity insurance of no less than AUD $10,000,000 for the duration of this Purchase Order. The supplier shall indemnify and hold harmless the purchaser against any claims, losses, or damages arising from the negligent acts or omissions of the Dietitian or any associated personnel.
- Intellectual Property: All proprietary meal plans, educational materials, and reporting templates developed specifically for the purchaser under this Purchase Order shall remain the intellectual property of the purchaser upon full payment. The supplier retains ownership of pre-existing methodologies and general educational content.
- Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order if such failure results from circumstances beyond reasonable control, including but not limited to natural disasters affecting the Australia Sydney region, government-mandated public health restrictions, or acts of God.
This Purchase Order constitutes a formal and binding request for the Dietitian services described herein.
