This Purchase Order is issued by the Brussels Metropolitan Health & Wellness Consortium (hereinafter referred to as the "Buyer") to Brussels Certified Dietitian Services S.A. (hereinafter referred to as the "Supplier") for the provision of professional Dietitian services within the municipality of Belgium Brussels. The Buyer hereby formally requests and authorizes the Supplier to deliver the Dietitian services as detailed in the line items below. All services shall be rendered in compliance with the professional standards established by the Belgian Federal Government for registered Dietitians operating in the Brussels-Capital Region.

3.1 Professional Qualification. The Supplier warrants that all Dietitian professionals assigned to this Purchase Order hold a valid professional registration with the Belgian Federal Government and are licensed to practise Dietitian services in the Brussels-Capital Region. The Supplier shall provide copies of all relevant professional certificates upon request.
3.2 Scope of Services. The Dietitian services described herein include nutritional assessment, dietary counselling, meal plan development, group education, and programme monitoring. The Dietitian shall not provide medical diagnoses or prescribe pharmaceutical treatments, as these fall outside the scope of Dietitian practice under Belgian law.
3.3 Service Location. All services under this Purchase Order shall be performed at the Buyer's premises located in Belgium Brussels, unless otherwise agreed in writing by both parties. The Buyer shall provide adequate space, seating, and basic equipment for the Dietitian to conduct consultations and workshops.
3.4 Payment. The Supplier shall issue monthly invoices in accordance with this Purchase Order. Payment shall be made within thirty (30) calendar days of the invoice date via bank transfer to the Supplier's designated account. Late payments shall accrue interest at the rate prescribed by Belgian law.
3.5 Confidentiality and Data Protection. The Supplier shall handle all participant health and dietary data in strict compliance with the General Data Protection Regulation (GDPR) and applicable Belgian data protection legislation. No personal health information collected during Dietitian sessions shall be disclosed to third parties without explicit written consent from the data subject.
3.6 Cancellation and Termination. Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of early termination, the Buyer shall be liable for services already rendered by the Dietitian up to the date of termination. The Supplier shall not be liable for any indirect or consequential losses.
3.7 Governing Law. This Purchase Order shall be governed by and construed in accordance with the laws of Belgium. Any disputes arising from this Purchase Order shall be subject to the exclusive jurisdiction of the competent courts of Belgium Brussels.
3.8 Insurance. The Supplier shall maintain professional liability insurance with a minimum coverage of EUR 1,000,000 per claim, valid throughout the duration of this Purchase Order, and shall provide a certificate of insurance upon request.
By signing below, both parties acknowledge and agree to all terms, conditions, and service specifications outlined in this Purchase Order for the provision of Dietitian services in Belgium Brussels. This document constitutes a binding agreement between the Buyer and the Supplier for the duration specified herein.
