- Acceptance: This Purchase Order constitutes a binding agreement upon written acceptance by the Dietitian. The Dietitian must confirm acceptance within five (5) business days of receipt of this document.
- Service Delivery: All services shall be rendered at the company's premises in Brasília – DF, Brazil, or at such other location within the Federal District as mutually agreed in writing. The Dietitian is responsible for bringing all necessary equipment, including body composition analyzers, anthropometric tools, and nutritional software.
- Compliance: The Dietitian shall maintain a valid registration with the Conselho Regional de Nutricionistas – 6ª Região (CRN-DF) throughout the duration of this contract and shall adhere to all ethical and professional standards established by the Conselho Federal de Nutricionistas (CFN).
- Confidentiality: All patient data, nutritional records, and health information collected during the engagement shall be treated as strictly confidential in accordance with the Brazilian General Data Protection Law (LGPD – Lei Geral de Proteção de Dados, Lei nº 13.709/2018).
- Payment: Payment shall be made via bank transfer (TED/PIX) within thirty (30) calendar days from the date of invoice issuance. Invoices shall be issued in Brazilian Reais (BRL) and must include the Dietitian's CNPJ or CPF, service description, and the reference to this Purchase Order number (PO-BSB-2025-0487).
- Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of early termination, the Buyer shall pay for all services rendered up to the termination date.
- Liability and Insurance: The Dietitian shall maintain professional liability insurance with a minimum coverage of R$ 500.000,00 and shall be solely responsible for any professional malpractice or negligence arising from the services provided.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Federative Republic of Brazil, with jurisdiction vested in the courts of Brasília – DF.
- Force Majeure: Neither party shall be liable for failure to perform obligations due to events beyond reasonable control, including but not limited to natural disasters, government mandates, or public health emergencies affecting the Brasília metropolitan area.
