Terms and Conditions of This Purchase Order
- Scope of Services: All Dietitian services described in this Purchase Order shall be performed by a Registered Dietitian (RD) in good standing with the College of Dietitians of Ontario. The Dietitian must hold a valid Ontario practice permit and a minimum of five (5) years of post-licensure clinical experience in corporate and community nutrition settings within Canada Toronto.
- Payment Terms: Net 30 days from the date of invoice. Payment shall be made via electronic funds transfer (EFT) to the vendor's designated account. Invoices must reference this Purchase Order number (PO-2025-04871) for processing.
- Delivery / Performance Location: All on-site services shall be delivered at the buyer's premises located in Canada Toronto, 245 King Street West. The Dietitian is responsible for all travel, parking, and transportation costs within the City of Toronto and the Greater Toronto Area (GTA).
- Confidentiality & Privacy: The Dietitian and all associated staff must comply with the Personal Information Protection and Electronic Documents Act (PIPEDA) and the Ontario Health Information Act. All employee dietary records, health assessments, and personal data collected during the engagement shall be treated as strictly confidential and shall not be disclosed to any third party without written consent.
- Insurance: The vendor shall maintain professional liability insurance with a minimum coverage of $5,000,000 per occurrence, naming the buyer as an additional insured. A certificate of insurance shall be provided prior to the commencement of services.
- Performance Standards: The Dietitian shall adhere to the Canadian Dietary Guidelines, the Food Guide Canada framework, and evidence-based nutritional science. All meal plans, dietary prescriptions, and educational materials must be reviewed and approved by the Lead Dietitian before distribution to employees.
- Cancellation & Modification: Either party may cancel or modify this Purchase Order with a minimum of fourteen (14) calendar days' written notice. Cancellations of individual sessions less than 48 hours in advance will be billed at 50% of the session fee.
- Warranty of Services: The vendor warrants that all Dietitian services will be performed in a professional, competent, and timely manner consistent with the standards of practice established by the College of Dietitians of Ontario.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein. Any disputes shall be resolved through mediation in Canada Toronto before proceeding to litigation in the Ontario Superior Court of Justice.
- Validity: This Purchase Order is valid for a period of twelve (12) months from the date of issue. Any services not rendered within this period shall require a written amendment signed by both parties.
