1. Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Republic of Chile, specifically the Chilean Civil Code and the applicable provisions of the Chilean Consumer Protection Law (Ley 19.496) where relevant to professional services rendered in Santiago.
2. Professional Compliance: The Dietitian, Dr. Valentina Rojas Contreras, warrants that she holds a valid and current registration with the Colegio de Nutricionistas y Dietistas de Chile and complies with all professional standards established by the Chilean Ministry of Health (Ministerio de Salud) for the practice of clinical dietetics in the Santiago Metropolitan Region.
3. Service Delivery Location: All in-person services under this Purchase Order shall be performed within the administrative boundaries of Santiago, Chile, unless otherwise agreed in writing by both parties. The primary service location is the Andes Nutrition & Wellness Group SpA office in Providencia, Santiago.
4. Payment Schedule: Payment shall be made in two equal installments: 50% upon completion of the first three months of service (due by 30 September 2025) and 50% upon completion of the full six-month service period (due by 31 January 2026). All payments shall be made via bank transfer to the Dietitian's designated account in Chilean Pesos (CLP) through a Chilean financial institution.
5. Confidentiality & Data Protection: The Dietitian shall handle all employee health and dietary information in strict compliance with Chile's Personal Data Protection Law (Ley 19.628) and the regulations issued by the Agencia de Protección de Datos. No participant data collected in Santiago shall be transferred outside Chile without explicit written consent.
6. Termination: Either party may terminate this Purchase Order with 30 days' written notice. In the event of termination, the Dietitian shall be compensated for all services rendered up to the termination date, and any prepaid amounts for unrendered services shall be refunded within 15 business days.
7. Dispute Resolution: Any dispute arising from this Purchase Order shall be resolved through the competent courts of Santiago, Chile, or through binding arbitration administered by the Centro de Arbitraje y Mediación de la Cámara de Comercio de Santiago (CCS), in accordance with its rules.
8. Force Majeure: Neither party shall be liable for delays or failures in performance caused by events beyond reasonable control, including but not limited to natural disasters (earthquakes, volcanic activity), public health emergencies declared by the Chilean government, or labor strikes affecting service delivery in Santiago.
