The scope of this Purchase Order encompasses the engagement of a fully qualified Dietitian who holds a valid practicing license issued by the Guangdong Provincial Health Administration and who demonstrates a minimum of five (5) years of clinical experience in therapeutic nutrition, pediatric dietetics, and chronic disease management. The Dietitian shall be physically present at the designated facility located in Tianhe District, China Guangzhou, for a minimum of forty (40) hours per week during the contract period.

4.1 This Purchase Order is governed by the Civil Code of the People's Republic of China and applicable local regulations of Guangdong Province. Any disputes arising from this Purchase Order shall be resolved through arbitration at the China International Economic and Trade Arbitration Commission (CIETAC), Guangzhou Sub-Commission.

4.2 The Dietitian engaged under this Purchase Order must maintain all required professional licenses, malpractice insurance, and continuing education credits throughout the service period. Failure to maintain compliance shall constitute grounds for immediate termination of this Purchase Order without penalty to the purchasing entity.

4.3 All services rendered by the Dietitian shall be performed at the designated facility in Tianhe District, China Guangzhou, unless otherwise agreed in writing by both parties. Travel to satellite locations within the Guangzhou metropolitan area for community outreach programs is included in the scope of this Purchase Order.

4.4 Payment shall be made via bank transfer to the account specified in Section 1 within thirty (30) calendar days of receipt of a valid invoice. Late payments shall accrue interest at a rate of 0.05% per day as stipulated under Chinese commercial law.

4.5 The supplier warrants that the Dietitian shall adhere to all ethical guidelines published by the Chinese Nutrition Society and shall maintain strict patient confidentiality in compliance with the Personal Information Protection Law of the People's Republic of China.

4.6 This Purchase Order may be amended only by mutual written agreement of both parties. Any modification to the scope of Dietitian services, pricing, or delivery location within China Guangzhou must be documented in a formal amendment annex attached to this Purchase Order.

The Dietitian services shall commence on 1 August 2025 at the primary facility located at No. 288 Tianhe Road, Tianhe District, China Guangzhou. The initial service period shall run for twelve (12) months, with an option for renewal upon mutual agreement. All deliverables, including nutrition plans, workshop materials, and audit reports, shall be submitted in both Simplified Chinese and English to ensure accessibility for the bilingual patient population in Guangzhou.
