1. Service Location: All Dietitian services shall be rendered primarily at the NutriVida Health Solutions S.A.S. offices located in Bogotá D.C., Colombia. Any off-site consultations within the Bogotá metropolitan area (including municipalities of Chía, Cota, and Funza) shall be subject to prior written approval by the Procurement Manager.
2. Contract Duration: This Purchase Order covers a service period of six (6) months, commencing on July 1, 2025, and concluding on December 31, 2025, unless renewed by mutual written agreement between both parties in Bogotá, Colombia.
3. Payment Terms: Payment shall be made in Colombian Pesos (COP) via bank transfer to the Dietitian's designated account. Invoices shall be submitted monthly by the 5th business day. Payment terms are Net 30 days from the date of invoice receipt. Late payments shall accrue interest at the rate established by the Banco de la República de Colombia.
4. Professional Compliance: The Dietitian shall maintain all required professional licenses, certifications, and registrations with the Ministerio de Salud y Protección Social of Colombia and the Colegio Colombiano de Nutricionistas y Dietistas throughout the duration of this Purchase Order. Failure to maintain compliance shall constitute grounds for immediate termination.
5. Confidentiality: The Dietitian shall treat all employee health information, dietary records, and nutritional data as strictly confidential in accordance with Ley 1581 de 2012 (Colombian Data Protection Law) and the General Data Protection regulations applicable in Colombia. No employee data shall be disclosed to third parties without explicit written consent.
6. Deliverables: The Dietitian shall submit all reports, dietary plans, and workshop materials in Spanish, the official language of Colombia. Digital copies shall be provided in PDF format to the NutriVida Bogotá operations team within five (5) business days of each service delivery.
7. Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the Dietitian shall be compensated for all services rendered up to the effective date of termination.
8. Governing Law: This Purchase Order shall be governed by and interpreted in accordance with the commercial and civil laws of the Republic of Colombia. Any disputes arising from this Purchase Order shall be resolved through the competent commercial courts of Bogotá D.C., Colombia.
9. Force Majeure: Neither party shall be liable for failure to perform obligations due to events beyond reasonable control, including but not limited to natural disasters, public health emergencies declared by the Colombian government, or civil unrest affecting Bogotá D.C.
10. Tax Compliance: The Dietitian shall issue valid electronic invoices (facturas electrónicas) in compliance with the DIAN (Dirección de Impuestos y Aduanas Nacionales) regulations of Colombia. All applicable taxes, including IVA at the current rate of 19%, are included in the totals stated above.
