Description of Services – Dietitian Consultation & ProgramThis Purchase Order is issued by NutriVida Corporate Wellness S.A.S., based in Medellín, Colombia, to formally request and authorize the procurement of professional Dietitian services. The contracted Dietitian, Dra. Mariana Restrepo Gómez, is a licensed clinical nutritionist registered with the Colombian Ministry of Health and INVIMA. - Scope of Work: The Dietitian shall provide all services listed in Section 2 at the buyer's premises in Medellín, Antioquia, Colombia, or at the Envigado satellite office as scheduled. All dietary recommendations must comply with current Colombian health regulations and the guidelines established by the Ministry of Health and Social Protection.
- Timeline: Services shall commence on July 1, 2025, and be completed by October 31, 2025. The Dietitian must submit a detailed work plan within five (5) business days of accepting this Purchase Order.
- Payment Terms: Payment shall be made in four (4) equal monthly installments via bank transfer to the Dietitian's registered account in Colombia. The first installment is due upon acceptance of this Purchase Order; subsequent payments are due on the 5th of each month (August, September, October 2025). Late payments shall accrue interest at the rate established by the Superintendencia Financiera de Colombia.
- Confidentiality: The Dietitian agrees to maintain strict confidentiality regarding all employee health data in accordance with Colombia's Ley 1581 de 2012 (Data Protection Law) and the General Data Protection regulations. No personal health information shall be disclosed to third parties without written consent.
- Professional Liability: The Dietitian shall carry valid professional liability insurance (póliza de responsabilidad civil profesional) with a minimum coverage of COP 500,000,000, issued by a Colombian insurance company authorized by the Superintendencia Financiera.
- Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of early termination, the buyer shall pay for all services rendered up to the termination date.
- Governing Law: This Purchase Order shall be governed by and interpreted in accordance with the civil and commercial laws of the Republic of Colombia. Any disputes shall be resolved in the competent courts of Medellín, Antioquia, Colombia.
- Subcontracting: The Dietitian shall not subcontract any portion of the services without prior written approval from the buyer's Procurement Department.
By signing below, both parties acknowledge and agree to the terms set forth in this Purchase Order for the procurement of Dietitian services in Medellín, Colombia. This document constitutes a binding agreement between the buyer and the professional Dietitian for the duration of the services described herein.
