Terms and Conditions
1. Scope and Compliance: This Purchase Order authorizes the contracted Dietitian to perform all nutritional services as described in the line items above. All services must be delivered in accordance with the professional standards set by the Congolese National Order of Dietitians and Nutritionists (ONDN) and the regulatory framework of the Ministry of Health of the Democratic Republic of Congo. The Dietitian shall operate from the registered practice location in Kinshasa, DR Congo, unless prior written approval is obtained from the issuing authority.
2. Payment Schedule: Payment shall be made in three installments: 40% upon acceptance of this Purchase Order and commencement of services, 40% upon completion of all group workshops and delivery of meal plans, and 20% upon submission and approval of the final technical report. All payments shall be processed via bank transfer to the account designated by the Dietitian. Invoices must reference Purchase Order No. PO-CD-KIN-2025-04782.
3. Quality Assurance: The Dietitian shall maintain detailed patient records, attendance logs, and intervention documentation for all services rendered in DR Congo Kinshasa. The Kinshasa Regional Health Authority reserves the right to conduct unannounced quality audits at the service delivery sites. Any deficiency in service quality must be rectified within fourteen (14) calendar days at no additional cost to the issuing organization.
4. Confidentiality and Data Protection: All patient information collected during the course of this Purchase Order shall be treated as strictly confidential in compliance with the data protection regulations of the Democratic Republic of Congo. The Dietitian shall not disclose, publish, or share any identifiable patient data without written consent from the patient and authorization from the KRHA.
5. Cancellation and Termination: Either party may terminate this Purchase Order with thirty (30) days written notice. In the event of early termination, the Dietitian shall be compensated for all services rendered up to the date of termination, less any applicable penalties as defined in the master service agreement CNI-2025-KIN-112.
6. Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Democratic Republic of Congo. Any disputes arising from this Purchase Order shall be resolved through the competent courts of Kinshasa, DR Congo.
7. Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to civil unrest, natural disasters, or government-imposed restrictions within DR Congo Kinshasa.
