No services shall be relocated outside the Egypt Alexandria governorate without prior written amendment to this Purchase Order.
2. Professional Qualification: The Dietitian must maintain an active and valid registration with the Egyptian Ministry of Health and the Alexandria Dietitians Professional Syndicate throughout the duration of this Purchase Order. Failure to maintain licensure shall constitute grounds for immediate termination of this Purchase Order by the issuing entity.
3. Payment Terms: Payment for services rendered under this Purchase Order shall be made on a monthly basis, within thirty (30) calendar days of receipt of the Dietitian's itemized invoice. Payment shall be processed via bank transfer to the account specified in Section 1. All amounts are denominated in Egyptian Pounds (EGP) and are subject to the 14% Value Added Tax as mandated by the Egyptian Tax Authority for services rendered in Egypt Alexandria.
4. Confidentiality and Data Protection: The Dietitian shall handle all patient nutritional data in strict accordance with Egyptian Law No. 151 of 2020 on Personal Data Protection. No patient records, dietary assessments, or clinical notes generated under this Purchase Order shall be disclosed to any third party without the explicit written consent of the patient and the issuing center in Egypt Alexandria.
5. Performance Standards: The Dietitian is expected to maintain a minimum patient satisfaction score of 85% as measured by quarterly surveys conducted by the issuing center. The Dietitian shall attend a minimum of two (2) continuing professional development (CPD) workshops per year approved by the Alexandria Health Authority to ensure adherence to current clinical nutrition guidelines.
6. Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the Dietitian shall complete all in-progress patient care plans and deliver a final transition report to the issuing center within Egypt Alexandria within fourteen (14) days of the termination effective date.
7. Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Arab Republic of Egypt. Any disputes arising from this Purchase Order related to Dietitian services in Egypt Alexandria shall be subject to the exclusive jurisdiction of the competent courts in Alexandria, Egypt.
8. Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to government-mandated closures in Egypt Alexandria, natural disasters, or public health emergencies declared by the Egyptian Ministry of Health.
