All services rendered under this Purchase Order shall be delivered at the designated service location in Berlin, Germany, or at the client's premises within the Berlin metropolitan area as mutually agreed upon in writing.

• 4.1 Scope of Engagement: The Dietitian shall provide all services described in Section 3 of this Purchase Order in accordance with the professional code of conduct of the BDI and applicable German healthcare regulations. The Dietitian is an independent contractor and not an employee of MediCare Nutrition GmbH.
• 4.2 Service Delivery Location: All services shall be performed at the client's premises located at Unter den Linden 42, 10117 Berlin, Germany, or at such other location within Germany Berlin as may be agreed in writing by both parties. Travel time within the Berlin city limits is included in the quoted rates.
• 4.3 Payment Terms: Invoices shall be submitted monthly in arrears. Payment is due within thirty (30) calendar days of the invoice date via bank transfer to the IBAN specified in Section 1. Late payments shall incur interest at the statutory rate under § 288 of the German Civil Code (BGB).
• 4.4 Confidentiality and Data Protection: The Dietitian shall handle all patient and employee health data in strict compliance with the General Data Protection Regulation (GDPR / DSGVO) and the German Federal Data Protection Act (Bundesdatenschutzgesetz – BDSG). A separate Data Processing Agreement (DPA) shall be executed prior to the commencement of services.
• 4.5 Professional Liability: The Dietitian shall maintain professional indemnity insurance with a minimum coverage of EUR 2,000,000 per claim. A certificate of insurance shall be provided upon request and kept current throughout the term of this Purchase Order.
• 4.6 Cancellation and Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the client shall be liable for all services rendered up to the effective date of termination. Individual sessions may be cancelled by the client with a minimum of 48 hours' notice; otherwise, 50% of the session fee shall be charged.
• 4.7 Governing Law and Jurisdiction: This Purchase Order shall be governed by and construed in accordance with the laws of the Federal Republic of Germany. Any disputes arising herefrom shall be subject to the exclusive jurisdiction of the competent courts in Berlin, Germany.
• 4.8 Quality Assurance: The Dietitian shall submit a quarterly performance report to the client's procurement department, detailing sessions conducted, client satisfaction metrics, and any deviations from the agreed service plan. The client reserves the right to conduct an annual quality review of the Dietitian's services.
• 4.9 Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, pandemics, or government-mandated closures affecting operations in Germany Berlin.

This Purchase Order constitutes a binding offer for the provision of Dietitian services as described herein. Acceptance by the vendor shall be confirmed in writing (email or signed copy) within five (5) business days of the date of issue. Failure to respond within this period shall be deemed a rejection of this Purchase Order.
