1. Scope and Location: All Dietitian services specified in this Purchase Order shall be performed in Germany Frankfurt. No services shall be relocated outside the administrative boundaries of Frankfurt am Main without prior written consent from the Purchasing Party.

2. Payment Terms: Invoices issued under this Purchase Order shall be payable within 30 calendar days of receipt via bank transfer to the Dietitian's designated account. Late payments shall accrue interest at the statutory rate under German commercial law (BGB § 288). Payment shall be made in Euros (EUR) to the account details provided on the invoice.

3. Professional Standards: The Dietitian shall adhere to the ethical code of conduct of the BVD, the German Nutrition Society (DGE) guidelines, and all applicable federal and state (Hesse) health regulations. 4. Confidentiality and Data Protection: The Dietitian shall treat all client nutritional data, medical histories, and dietary information as strictly confidential. Data processing shall comply with the EU General Data Protection Regulation (GDPR) and the German Federal Data Protection Act (BDSG). A separate Data Processing Agreement (DPA) shall be executed prior to the commencement of services.

5. Performance Period: The services under this Purchase Order shall commence on 1 July 2025 and conclude on 30 June 2026, unless terminated earlier in accordance with Clause 7. The Dietitian shall maintain availability of at least 40 hours per week for the delivery of services in Germany Frankfurt.

6. Quality Assurance: The Purchasing Party reserves the right to conduct quarterly performance reviews of the Dietitian's services. KPIs shall include client satisfaction scores (minimum 85%), on-time delivery of diet plans, and adherence to scheduled workshop dates in Germany Frankfurt.

7. Termination: Either party may terminate this Purchase Order with 60 days' written notice. In cases of material breach, termination may be effected with 14 days' notice. Upon termination, all completed services shall be invoiced, and the Dietitian shall hand over all client files and documentation within 10 business days.

8. Governing Law and Jurisdiction: This Purchase Order shall be governed by the laws of the Federal Republic of Germany. Any disputes arising from or in connection with this Purchase Order shall be subject to the exclusive jurisdiction of the competent courts in Frankfurt am Main, Germany.

9. Force Majeure: Neither party shall be liable for delays or failures in performance resulting from events beyond reasonable control, including but not limited to natural disasters, pandemics, or government-mandated closures affecting the city of Germany Frankfurt.

10. Entire Agreement: This Purchase Order, together with any attached schedules and the DPA, constitutes the entire agreement between the parties regarding the engagement of the Dietitian for nutritional services in Germany Frankfurt and supersedes all prior negotiations, representations, or agreements.
