- Acceptance: This Purchase Order becomes binding upon written or electronic acceptance by the Dietitian service provider. The Dietitian shall confirm acceptance in writing within five (5) business days of receipt of this document.
- Service Delivery: All Dietitian consultations, workshops, and assessments shall be conducted in Germany Munich between the dates of 1 July 2025 and 31 December 2025. The Dietitian shall adhere to the appointment schedule agreed upon in the annexed calendar.
- Professional Standards: The Dietitian shall perform all services in accordance with the German Federal Food and Consumer Protection Act (Lebensmittel- und Futtermittelgesetzbuch, LFGB) and the professional guidelines of the German Association of Dietitians (Deutscher Überverband für Ernährungsberatung und Diätetik, DÜE).
- Confidentiality: The Dietitian shall treat all employee health data in strict accordance with the General Data Protection Regulation (GDPR / DSGVO) and the German Federal Data Protection Act (BDSG). No personal nutritional data shall be disclosed to third parties without explicit written consent.
- Payment Terms: The buyer shall settle the total amount of € 50,741.60 within thirty (30) calendar days of the Dietitian’s final invoice. Payment shall be made via bank transfer to the account specified on the invoice. Late payments shall incur interest at the statutory rate under § 288 of the German Civil Code (BGB).
- Cancellation and Modification: Either party may cancel this Purchase Order with a written notice of at least fourteen (14) days. Any modification to the scope of Dietitian services must be documented in a written addendum signed by both parties.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Federal Republic of Germany. Any disputes arising from this Purchase Order shall be subject to the exclusive jurisdiction of the competent courts in Munich, Germany.
- Force Majeure: Neither party shall be liable for delays or failures in performance caused by events beyond reasonable control, including but not limited to natural disasters, pandemics, or government-mandated closures affecting service delivery in Germany Munich.
- Warranty: The Dietitian warrants that all services rendered under this Purchase Order shall be performed with the skill, care, and diligence expected of a qualified registered Dietitian in Germany Munich. The buyer reserves the right to request a re-consultation at no additional cost if a service is deemed unsatisfactory.
- Entire Agreement: This Purchase Order, together with its annexes, constitutes the entire agreement between the parties regarding the procurement of Dietitian services in Germany Munich and supersedes all prior negotiations, representations, or agreements.
