Ltd. to NutriLife Dietetics & Wellness Centre, a registered Dietitian practice operating in India Bangalore, for the provision of comprehensive nutritional counselling, dietary planning, and ongoing health management services. The Dietitian engaged under this Purchase Order shall be a registered professional with the Indian Dietetic Association (IDA) and shall hold a valid registration number issued by the State Council of Dietetics and Nutrition, Karnataka. All services shall be rendered at the supplier's premises located in India Bangalore or at the purchaser's corporate office in Koramangala, Bangalore, as mutually agreed upon in writing.

1. Acceptance: This Purchase Order shall become binding upon written acceptance by the Dietitian service provider (NutriLife Dietetics & Wellness Centre, India Bangalore) within seven (7) calendar days of the date of issue. Failure to respond within this period shall be deemed as rejection.
2. Payment Terms: Payment shall be made within thirty (30) days from the date of invoice submission. The purchaser shall process payment via NEFT/RTGS to the bank account designated by the Dietitian's practice. A 1.5% monthly interest shall apply on overdue amounts as per Indian commercial law.
3. Service Delivery: The Dietitian shall commence services within ten (10) working days of Purchase Order acceptance. All sessions shall be conducted in India Bangalore at the agreed-upon location. Rescheduling must be communicated at least 48 hours in advance.
4. Professional Qualification: The Dietitian assigned under this Purchase Order must hold a B.Sc. or M.Sc. in Dietetics/Nutrition from a UGC-recognised university in India and must maintain active membership with the Indian Dietetic Association. Proof of registration shall be provided at the time of onboarding.
5. Confidentiality: The Dietitian shall maintain strict confidentiality of all health records, dietary data, and personal information of the purchaser's employees. This obligation shall survive the termination of this Purchase Order for a period of five (5) years.
6. Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the purchaser shall be liable only for services rendered up to the date of termination.
7. Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of India. Any disputes shall be subject to the exclusive jurisdiction of the competent courts in Bangalore, Karnataka, India.
8. Tax Compliance: All charges are inclusive of applicable Goods and Services Tax (GST) as levied in India Bangalore. The Dietitian's practice shall issue a valid GST tax invoice for every payment received.
9. Quality Assurance: The Dietitian shall provide a written progress report at the end of each quarter. The purchaser reserves the right to request a replacement Dietitian of equivalent qualification if service standards are not met.
10. Force Majeure: Neither party shall be liable for delays caused by natural disasters, government regulations, pandemics, or other events beyond reasonable control, as defined under Indian contract law.
