1. Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Republic of Indonesia, specifically applicable within the jurisdiction of Indonesia Jakarta. Any disputes arising from this Purchase Order regarding the Dietitian's services shall be resolved through arbitration at the Indonesia Jakarta Arbitration Board.
2. Professional Qualification: The Dietitian engaged under this Purchase Order must hold a valid professional license issued by the Indonesian Ministry of Health and maintain active membership in the Indonesian Dietetic Association. The Dietitian shall provide proof of certification prior to the commencement of services in Indonesia Jakarta.

6. Termination: Either party may terminate this Purchase Order with a written notice of sixty (60) days. In the event of termination, the Dietitian shall be compensated for all services rendered up to the effective date of termination, and the buyer shall pay for any non-refundable commitments already made in Indonesia Jakarta.

8. Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, government-mandated lockdowns in Indonesia Jakarta, or public health emergencies as declared by the Indonesian government.
9. Intellectual Property: All meal plans, nutrition policies, educational content, and proprietary materials developed by the Dietitian specifically for this Purchase Order shall become the intellectual property of PT Nusantara Wellness Corporation upon full payment.
