- This Purchase Order constitutes a binding agreement between the Purchasing Entity and the Dietitian for the provision of professional nutritional services in Iran Tehran. Both parties acknowledge and accept all terms herein upon signature.
- The Dietitian shall maintain valid professional licensure issued by the Iranian Dietetic Association throughout the entire duration of this Purchase Order. Any lapse in licensure shall immediately void this agreement.
- All services must be performed at the designated facility located in Iran Tehran or at alternative locations pre-approved in writing by the Purchasing Entity. The Dietitian shall not subcontract any portion of the services outlined in this Purchase Order without prior written consent.
- Payment shall be processed in Iranian Rial (IRR) via bank transfer to the account specified in Section 2. Invoices must be submitted within five (5) business days following the completion of each monthly service cycle. Payment is due within thirty (30) calendar days of invoice receipt.
- The Dietitian is required to submit a written progress report to the Procurement Director at the end of each calendar month, detailing patient outcomes, workshop attendance, and any deviations from the original service plan. These reports are a mandatory deliverable under this Purchase Order.
- All patient data, dietary records, and nutritional assessments generated under this Purchase Order shall remain the exclusive property of the Tehran Metropolitan Health & Wellness Center. The Dietitian shall comply with all data protection regulations applicable in Iran Tehran and the Islamic Republic of Iran.
- Either party may terminate this Purchase Order with thirty (30) days written notice. In the event of termination, the Dietitian shall be compensated for all services rendered up to the effective date of termination, and all outstanding patient care plans must be transitioned to a successor Dietitian approved by the Purchasing Entity.
- This Purchase Order shall be governed by and interpreted in accordance with the civil and commercial laws of the Islamic Republic of Iran. Any disputes arising from this agreement shall be resolved through the competent courts of Iran Tehran.
- The Dietitian acknowledges that all meal plans and dietary recommendations must account for the seasonal food availability, cultural dietary practices, and religious observances (including Ramadan fasting schedules) prevalent in Iran Tehran.
- Force majeure events, including but not limited to natural disasters, government-mandated closures, or public health emergencies affecting Iran Tehran, shall suspend obligations under this Purchase Order for the duration of the event without penalty to either party.
